  • That pertains to average investor.....not insider or 10% or more holder. DaninFW

  • 12.65% was reported in Sept, 2013
13.65% was reported in Jan., 2014
14.67% was reported in Jun., 2014
16.28% was reported in Sept 2014
    ----------
From Wiki....... A filer must promptly update its Schedule 13D filing to reflect any material change in the facts disclosed, including, among other things, the acquisition or disposition of 1% or more of the class of securities that are the subject of the filing.
    ------------
So I think its safe to say that Gabelli has not increased or decreased their position by more than 1% as of a few days ago.

    10% Owners

    by daninfw04 Oct 1, 2014 1:22 PM

Well, if that were the case, why hasn't there been dozens of Gabelli filings all the way since 10% ?

Their last filing contains trades from 7/10 thru 9/9 and none of those trades were individually reported.

So you could have been saying they weren't buying in July because there were no filings but they were buying.

And I cant find a single form 4 where Gabelli has ever filed for PBY.

I tend to think Gabellis legal guys know more than me or you.

  • I just copied this from a few days ago. Gabelli must file ANY trades within 2 days:
"•Every person who is the beneficial owner of more than 10 percent of any class of equity security registered under Section 12 of the Exchange Act (which we refer to herein as "equity securities"), and any officer or director of the issuer of any such security (collectively, "insiders"), must comply with the requirements of Section 16(a) of the Exchange Act.
•Section 16(a) and the rules promulgated thereunder require insiders to file initial statements of holdings on Form 3.
•Insiders must keep their holdings disclosures current by reporting transactions on Form 4 within two business days following the execution date of the transaction."

I won't claim to be an expert in this area but somewhere in news for USCR where Whipoorwill owns over 10%, each time they have sold anything they have filed a report within 2 days. I read in one release where owners of over 10% have to file any change in ownership. The last report for GAMCO wasn't 1% if I remember correct. DaninFW

Free shares goes on at many or most companies. And shares are better than cash in that it gives directors an ownership stake.

Its not worth focusing on. You miss the big picture when you pay too much attention to minutia.

I thought he only had to file with a 1% increase or decrease ?

You will note he hasn't filed a single form 4 since going over 10%.

I pulled it up on Charles Schwab. There were 7 filings on 9-29-14 for 9-26-14 event. When you go to the SEC site it doesn't automatically pull up schedule 4 filings. It asks you if you want those too. Then it just shows schedule 4 filings. I think it says "change in ownership" filings or something like that. Otherwise, you just get quarterly reports, annual reports, etc. The individual filings show how many shares each exec got. I added them up. DaninFW

Where did you see the number of shares issued? I checked the SEC website and did not see any detailed information.

True. I was talking in reference to Gabelli supporting the price of the stock. That has changed. DaninFW

Something has changed. He is a 10%+ owner and has to report trades within 48 hours. Nothing reported yet. Not selling or buying. In the past few quarters he has bought to protect his investment. Now, nothing. He is letting it fall. He is either letting it fall to buy a bunch cheap which as I said before, I don't think he wants to go over 20% so he can't buy that much more. I think he's in a corner now. This is why I think PBY may fall to $8...........the only thing to save price drop in short term is the hiring of a well known name in this sector. DaninFW

that's almost equivalent to theft. Giving away shares at this point in time, even if they are restricted is outrageous. I guess the good news is, those extra shares will help reduce the losses per share.

who was buying all those shares that were dumped at the end of the day? perhaps it was merely window dressing selling to end the quarter? one thing for sure, the stock is on sale!

  • As I said the other day, I just saw where PBY's BOD's issued 131,441 free shares of restricted stock that vests 12-31-14 to their top 7 executives.......just so they won't quit because O'Dell left. If they are competent at all, they were probably throwing parties and celebrating his departure. This just cost you shareholders well over a million dollars to be eaten in Q3 or Q4. There goes 2 cents EPS down the drain. I am now projecting PBY to hit $8.00 to $8.25 before it stabilizes.Today, 60% of the volume was in last 15 minutes and we hit the low of the day. There are a lot of sellers waiting to dump it appears. DaninFW

    Sentiment: Strong Sell

  • I predicted PBY would break below $9 and was laughed at. I thought it should have the last few quarterly reports as well and was laughed at. This stock is way overdue a major correction to reflect current and future value of the company. Gabelli owns 10%+ so he has to file within 1-2 days after any buy or sell. Nothing recently. The departure of O'Dell confirms to the world that the current turnaround plan ain't workin'. Gabelli is not a long term investor usually especially when conditions reverse. The only reason it didn't crash the last few quarters was because price was being manipulated by Gabelli buying a thinly traded stock. This company has no workable turnaround plan. At best, it might get bought out at $11 a share. It's a different world now. If Gabelli throws in the towel, it will be over. If an internal candidate or current interim CEO gets appointed CEO, investors are screwed. If they hire someone from the outside with autoparts experience that was a proven leader it could pop nicely. I am now concerned about Gabelli. We are down today 27 cents with 150,000 shares traded. Just imagine if a big fund or Gabelli dumps? We may firm up around $8.50 but I wouldn't rule out breaking below $8. I would have to research but I think PBY still has a large amount of stock they can repurchase. If so, maybe they will buy Gabelli's block to keep it from hitting the market. DaninFW

  • I was wrong.

But I still think the odds favor buying versus selling at current levels.

I know there is going to be a lot of tax loss selling in this stock but Im surprised nobody is stepping up with any large bids.

Has Gabelli stopped buying ? If so, why ?
