    Execised Rights

    Sounds confusing - selling or purchasing rights does not mean exercising rights. If you purchased rights on April 16, it would in the range of $7.10 to $7.86 and it should be recorded in your account within a minute if not in seconds. If you subscribed, you would have paid $39.42. May be you meant exercised (at $39.42) when you said "I purchased the rights in another".

  • Folks,

    Today I exercised my RIGHTS for TTM.RT: 1) I sold the rights in one account (@ US$7.41/share right) and 2) I purchased the rights in another. The purchases won't clear until 4/27/2015 ... they should be recorded in my account about 10 days later (TD Ameritrade).

    Thanks for the information. My post was giving the amount as $39.42 (Canadian) add the current difference (check exchange rate) of $3.58 (US) to $35.84 (US) which you quoted and the total is "currently" $39.42 (Canadian).

    Perhaps following will help:

    Each one (1) transferable ADS right entitles the holder to subscribe for One (1) ADS of
    Tata Motors Limited (cusip #876568502) at the subscription amount of $39.42 per
    ADS. The subscription amount of $39.42 consists of an estimated U.S. dollars
    subscription price of US$35.84 plus an additional refundable deposit of US$3.58 to
    account for foreign exchange movement.

    There is an oversubscription privilege, subject to proration, and available to record
    date holders that fully exercise their initially issued basic subscription
    right.

    What this means is that one can buy 1 TTM ADS at APPROXIMATELY US$35.84, and NOT at US$39.42. The difference, US$3.58 must be paid when you subscribe, but chances are that most of it will be refunded when you receive the ADS. US$3.58 is intended to cover currency exchange rate which fluctuates and is unpredictable. It seems to me that the current trading in TTM Rights indicates that the final price will be lot closer to US$35.84 and most of US$3.58 will be refunded.

    Following is accurate:

    I noticed today that my broker had added some cash to two accounts where I have my TTM holdings. I called to find out what this meant. The cash was in lieu of partial shares in my accounts due to this action (TD Ameritrade does not maintain partial shares in their accounts). What follows is a paraphrase of their further explanation...

    Tata Motors [TTM] is offering rights/warrants [Symbol: TTM.RT] to those who own TTM ADRs, This means we have a limited-time opportunity to purchase more ADR shares at a given price. This offer expires quickly, on 27 April 2015. We can purchase a specific number of shares for $39.42 (Canadian!). You may want of check the exchange rate to see if you feel it's a bargain.

    Companies do this for two reasons: 1) to obtain income, and 2) to make use of some corporate financial availabilities (bookkeeping). Also, they are likely thinking that the price/share will be going up soon.

    Reminder: Annual ADR Fee

    Optimum,

    I've had shares since April 2005 and in my experience the fee is charged annually, though not always on the same date. For the first several years I wasn't charged at all. I was charged in June or February (6/2009; 2/2010-15). The fee has always been $0.02/share.

    You may be buying and selling on a schedule that allows them to charge you differently ... I'd check that out.

    I saw the symbol show up in my account and did some calling to my broker. Apparently it's a right/option to purchase additional shares at a discounted price (0.055045 of a Right for each TTM ADS held) from the little time I've had to look into it. Per my broker, the options expire/must be executed by 4/27. There are some PDFs out there that outline the details, search for "OCC 36488" and "OCC 36501".

    Wish I had more time to look at it now, but hopefully someone can give more explanation about it but it is incentivising buying more shares and looks like potential easy money to buy additional shares at a discount [can sell immediately] or trade the rights potentially if you don't want or have the $ to pony up to purchase the shares. Might screw the shorts in the process and is interesting to do vs. paying out a dividend to increase shareholder value.

    Just a reminder: Tata Motors [TTM] shareholders pay an annual ADR Fee of $0.02 per share to Citi for handling the foreign shares. Every year, someone asks about this fee. My fees were charged to my accounts today.
