I wish you were right, but unfortunately that's not how it works. The common + warrants are for "aggregate gross proceeds of up to $16 million", and that is "prior to deducting placement agent commissions and offering expenses"
It's also "a best efforts offering", meaning the underwriter will do their best to sell this to the public, but it is not guaranteed.
I'm on board with your FDA approval, in the end they're all that matters. My concern is a worst case scenario where Cel-Sci can't continue funding themselves.
The annual report they submitted to the SEC was a blurry, un-searchable scan which worries me. It's as if it was purposely done to avoid OCR software.
I read through it. There are several provisions talking about what would happen if funding ran out. I suppose they have to include that language...but still scary. However, it also said they were confident they would be able to raise the funds.
Hopefully we get through this offering and they're able to sell all the common shares for an immediate $8 million and stay afloat for a couple more months. However, it also means there will have to be an additional issuing in the not-to-distant future.

"my assessment " is NUMBERS. The "large scale" investors have a vested interest in seeing that Cel-Sci and therefore their $16 M investment does well.
Their B.E. on the stock is: .79.
If you were "them" , would you dump shares, that would drop the price ( their price )?
Since there is no market for the warrants ( 50% of their financial commitment ), do they want to see CVM do well , or flounder?
Next basher argument; the $32 M guys will use the shares to cover a short.
If they do that ,be prepared with the answer...

Rauise 'up to $16 million' means CVM sold $8 million worth of units, or a little more than 10 million units at 79 cents apiece -- 10 million shares and 10 million warrants. The additional $8 million will come in if and only if the warrants are cahsed in at their exercise price of 79 cents each.
I hope you're right with your assessment. I hope we all look back at this as one of the great buying opportunities. I guess if it was a slam dunk, the stock would have already been at a much higher price. If someone wants a sure thing, buy Walmart stock.
The prior FUNDRAISER WAS for $35 M. Since no details were posted there is no way to compare the two FUND RAISERS.
The NEW warrants don't trade on any market.
Therefore the ONLY thing that can be done with them is to EXERCISE , @ .79 for a total of : $16 M.
The money from exercised warrants goes to : Cel-Sci. ( $16 M )
That means Cel-Sci gets $32 M ( minus commission )
ALSO: There have been constant complaints ( by the bashers ) about the De Clara "loan" , which was in a reality a "poison pill" ( A way to block a hostile takeover. ) .
Now there will be no $180 K in annual interest payments AND the PROFESSIONAL STOCK MANIPULATORS will be forced to drop the "LIEN" trash talk from their agenda.
BTW: The "shareholder protection plan" ( the "A" & "B" coupons ) and preferred shares will be the remaining poison pills.
How about a new De Clara loan @ a low interest to get that additional "POISON PILL"??
Since there is no "lien" then Cel-Sci would be free to sell , with FDA approval , MK for H&N MANUFACTURING/distribution rights in Multiple territories.
