    OK, so ACTC filed with the SEC for the split

    several months ago. Does ACTC now need to wait a certain amount of time, or do they need the SEC to approve the split or what? How does that work? And, just because they filed doesn't mean they actually have to do it? Can they withdraw? I know you guys know this stuff in and out and can explain it to me/us. Thanks.

    • If you dont even understand the basics why are you losing money in an attempt to invest in the market? Your knowledge should convince you to go buy a lottery ticket..you stand a better chance of a gain in that arena..

    • elk, oh hell yes, the court case is a huge ball and chain to drag around-I wonder what they'll say, if anything, about that on the 8th.

    • I thought about that Elk ...but we shall see what kinda dough we have on friday the 8th ...that would be a nice fluff PR ....We have settled with the SEC...but not sure we can dictate timing ..... and ya don't want to have to do another vote ...gonna have to approve more shares at some point as well

      SUBSEQUENT EVENTS

      On April 26, 2012, the shareholders approved an amendment to the Certificate of Incorporation of the Company to effect a reverse stock split of the Company’s common stock, par value $0.001 per share, at a ratio not less than one-for-twenty and not greater than one-for-eighty, and reduce the number of authorized shares of the Company’s common stock in the same proportion as the reverse split, with the exact ratio to be set within such range in the discretion of the Board of Directors without further approval or authorization of the Company’s shareholders, provided that the Board of Directors determines to effect the reverse stock split and proportional reduction in authorized shares of common stock and such amendment is filed with the Secretary of State of Delaware no later than December 31, 2012.

      Michael - When it comes to the planned reverse split in conjunction with the up-listing to the Nasdaq, can you see where the split might not happen? Or could it be possible that the split ratio could be well under the minimum 1-20 amount that was voted on?

      Gary - I see no way that this can happen. With over 2 billion shares outstanding we can never get a listing onto the Nasdaq unless we were really close to commercialization. There has to be a reverse split. Do I think the stock should be trading much higher right now? The answer is of course. Do I think that with a $160 million market cap, the stock is one of the most disproportionate risk reward scenarios I have ever seen? The answer is yes.

      We are unlikely to get to a billion dollar valuation by just continuing to treat patients. Maybe with a joint venture partner and a big upfront payment, while actively pursuing our blood, MSC opportunities we could maybe get there. By the way, on those new programs, watch this space as we have lots of exciting things happening. When you look at companies in the biotech world that have billion-dollar market caps, they are much closer to commercialization than we are. We have to be cognizant of absolute valuations here.

    • If you are listening to MumboMambo for your financial advise run for cover - Think, what a $20 share price with 2 bn shares out would mean for a market cap? Do you really think that company, even with huge potential but no product or revenue would be valued at $40 bn!

      The vote on the RS gave the company authorization to complete the split this year. If they don't the company will have to come back to the shareholders yet again.

      I'm certain that will the issues that share structure causes that as soon as an RS can be done it will be. Obviously the company will want to get the share price up as high as possible before the split.

      • especially yours. I don't really listen to anyone for advice, I'm on my own there but I love hearing all the differing or similar speculation. Mambo is great for an upbeat, maybe total fantasy opinion, but upbeat nevertheless. It's easier to read than dummy, idiot, nutjob and whatever else I've been called. None of that bothers me either, but the upbeat stuff is fun.
        I wonder just how far the stock will go up before the split, that is the million dollar question right now.

      He says there will definitely be a reverse split. Read the interview and you will understand why.

      • I know he said the split would take place before the end of this year. 3 to 5 years, in the overall scheme of things isn't a long time but in my life with the roller coaster I've been on 3 to 5 years is a scary proposition !!!
