    10-K

    Not a whole lot new in the 10-K, but a few
    tidbits of interest:

    - Aeris (Qualcomm's short
    message service for trailer tracking partner) has filed
    notice against HighwayMaster for patent
    infringement.

    - GTE Wireless has terminated the billing services
    agreement with HighwayMaster. HighwayMaster has chosen SBMS
    as their new billing service provider, thus becoming
    even more of an SBC puppet division.

    - Saunders
    received $300,000 on January 1st. Quick's last day is the
    end of April, and he will receive a minimum of
    $434,000.

    - Saunders can't sell for Qualcomm or AMSC, but he
    does have permission to let them sponsor his racing.


    - Ms. Bell's option strike price is $1.00 per
    share. 400,000 shares vested in 3 years, another 20,000
    in 4 years. The leutenants' options strike at $1.19
    to $1.56.

    - Not a lot new on the SBC
    contract. Still can't tell what they are paying, but at
    least there is some better balance sheet explanation.
    $10.5M of the inventory is units already installed but
    not yet fully payed for by SBC. For the 8,686 units
    installed last year, this comes out to a HWYM cost of $1200
    per unit. There are also liabilities of $7.5M of
    advance payments by SBC, but no reference as to what
    percentage of the unit price this accounts for.

    • I will update these reasons shortly, but do not overlook the SBC claus that deals with greater ownership after Long Distance approval.

      1) The new Senior Management Team members are
      all from "Fortune Five Hundred" companies. Since they
      took over, they have reduced expenses, increased
      growth, and paid down debt. They have made all the right
      moves.

      2) The company just turned in the first three
      quarterly profits in its' history. Next Q will be more of
      the same. Not counting unit sales HWYM is only 1 or 2
      good contracts away from profitability.

      3) The
      company has fulfilled the biggest contract in its'
      history (15,000+ units with SBC), and soon should sign an
      equally large contract with AIT.

      4) The
      Highwaymaster unit is a compact, robust piece of equipment,
      with a good service record.

      5) The
      Highwaymaster service is available in the USA and
      Canada.

      6) The units have proven to be very profitable to
      SBC.

      7) The new product (Track Ware) will prove to be a
      very profitable and marketable unit. Studies by HWYM
      have shown the product to be desirable and well
      priced. The recently announced price of 5 - 15 dollars a
      month is very resonable.

      8) The stock price
      cannot be beat. The upside potential is
      incredible.


      9) SBC has a complicated ownership deal with
      Highwaymaster, but SBC's percentage of ownership could go up
      when long distance is approved.

      10) They
      extended the original service deal with SBC for 3 years.


      11) The good people that work at
      Highwaymaster.

      12) Expansion into Canada is possible through the AIT
      BCE deal.

      13) The new deal with Allied
      Automotive.

      14) SBC merging with TMX or Voice Stream
      (speculation and rumor). Should this happen the sky is the
      limit for HWYM.

      1. Why the return of the "5000" kits by a
      customer?
      2. Did they retain the fleet ( who ?) and move into
      a different product?
      3. Do they compete directly
      w/ Qualcomm as far as asset tracking?

      I am a
      marketing mgr for a co. that supplies product to national
      fleets. We see the trucking staying solid for a minimum
      of 3 years,as witnessed by the huge B/O of trucks
      from OEMs

    • In my area we are not offering ADSL yet, but it
      is coming. I called my daughter, she works in
      residence sales, and she didn't know anything about
      conditioning charges.

      Bridge Tap - This allows the
      same cable and pair to be used in different areas. In
      other words the pair feeding your building could show
      up in several extension boxes in the area.

    • I know this is the HWYM board, but I have a
      question about SBC and DSL setup.

      My company is
      trying to have dsl installed. When sbc came out, they
      said that there was a "bridge tap" on our line. They
      said we would be charged $900 to remove this
      tap.

      As I understand a "tap", it is a splitter installed
      by sbc for their convenience. But they want to
      charge us $900 to remove it. They call it a "line
      conditioning" charge.

      Thay say you can not have a "tap"
      within 1000 feet of you. After Project Pronto, I might
      be within 12000 feet but I will still have the tap
      on my line.

      I have talked to about 4 sbc
      supervisors and they all say, "too bad", $900, we can't do
      anything about it. BTW, we are 16200 feet from the switch.
      They said that if we were within 12000 feet, there
      would be no charge. What?

      My
      questions....

      1. Is this really true?

      2. Won't this affect
      the other companies in my building also. Nobody gets
      it until someone pays $900.

      3. In the future
      when companies need to move offices, they are not
      going to know if they can get dsl without paying a $900
      "line conditioning" charge. This makes planning
      difficult.

      4. I am in Dallas, can you refer me
      (Vegas_GrandPa@yahoo.com)to anyone here at sbc to whom I could talk that
      could reduce or waive this charge?

      half and a 1966. The blue one is the 1965 and the red

    • As I said, I respect you. You are right about the
      HWYM BB, it is much better than most, and the best
      thing is we don't have kids that only can speak in 4
      letter words. That is why I jumped Iron Rampart, nothing
      added with his/her words to Sanderquick. All can
      occasionally slip, I sure do, but we have had some real civil
      discussions with sandersquick and such. Like that
      here.

      Jana has done well, the G&A was wonderful after her
      take over. I only spoke two lines not the whole thing.
      I don't like seeing a growth/teck stock lower R&D.
      I don't like seeing sales and marketing go down
      with a growth stock, cause they should be the reason
      to expect growth. GOD, that last sentence was the
      hardest I ever typed. I wish I could take it back, but
      there are reason for sales people. After I take this
      next telemarketing call and hit "not interested" on
      banners and throw away a ton of trees in my mailbox, I
      will try to explain why all sales people have a
      "reason to live."

      sorry.:-)

      I am like Sanderquick in some regards, I can take
      something small and make it big. I think I have a much
      better understanding of finances than he/she does, but
      he/she understands the product much better. He/she,
      someday I will have to click on his/her ID so I don't
      have to continue to do politically correct when
      speaking of him/her, also has a much better history of the
      company. I think we all need to hear what SQ says, but
      take it with a grain of salt, as you should when I
      might take someone out.

      We need to hear what
      hwyman6340 and others say, even if it is hype. For me I am
      in with 1,000 shares, wife in with more, and we will
      all take the ride together (with the exception of
      Sanderquick). It might take a month, might take years, might
      take a day, but someday, we will loose or make money.
      That much I can garantee with a forward statement.:-)
