No. NRGY will receive about 13M SPH units which will be distributed to the holders of ~130M NRGY unit holders. If you do the arithmetic it will be 10-11 SPH units for every 100 NRGY units you hold, depending on the total no. of NRGY units outstanding, which may be a bit less than 130M.
