let me see if i understand this.. .i know that i'm missing something
in september 2010, SE was member of MSFT's senior leadership team and head of their business division. he "LEAVES" msft and immediately becomes nokia's CEO, at a salary of $1.4m with a $6m signing bonus.
SE then completely kills sales with his "burning platform" memo. (unplugging symbian and meego)
lays off 11,000 employees, cuts the annual dividend... lays off another 10,000 employees and closes 4 facilities. during his 2.5 year "restructuring" tenure, nokia stock DROPS 83%.
and he is "re-employed" by MSFT as executive vice-president . all of this with a $25m package, which was changed (enhanced) on the same day as the D&S sale was announced. according to form 20-f, his contract calls for accelerated vesting with an ownership change (sale) of the company.... that hasn't happened; only the D&S division was sold. Early 2013, the BOD realized they couldn't financially compete with apple/google
and HAD no other viable options.
MSFT had no other option either. So they were talking to either other for a long time now, which is not a surprise, even before the screw up by the Chairman of NOK about the $25M buy-out of Elop. They got the price they wanted and closed the deal. The shareholders voting is more like going through the motions than anything else. Voting is part of the process.
They tore up NOK pretty good to eventually get the outcome they wanted. This is "Strategic Thinking." Which also makes you think that if NOK and MSFT set this whole deal up, what other companies or gov't agencies are doing the samething? It is unnerving to say the least. We are pawns in game of life - "Mongo" said that in the movie Blazing Saddles.

Who cares about the stock price for the 3 years preceeding Elop ?
What does that have to do with Elop's performance, he was hired to fix problems.
Didn't work out that way for nokia; just Elop.
Now the company has come back to life reorgainzed doing different things, so you think the stock wil reverse and go back to 39 in a few years? They ripped NOK a part for there neferious reasons, now the tide has turned, bringing it back up again.
