How can Pfizer spin off Zoetis without giving shares to Pfizer shareholders. Why are they asking shareholders to exchange shares. As a shareholder, I want shares of Zoetis which I own through my ownership of Pfizer stock when they spin this company off.
PFE P/E is 12, ZTS P/E is 28. If we were to get 2 shares of ZTS per each share of PFE the risk would be acceptable. Technically, this is a well thought scam by PFE management to reduce the number of outstanding shares. Don't fall for it.
You make a lot of sense, spinal tap, i always thought that once you own the stock you were a part owner of the company, but another equity i held Sara Lee , many years ago did the same with Coach, you turned in Sara Lee shares for Coach shares,,,, so i would think its legal...
have you read earlier msgs that have shown that this is NOT a spinoff but a SPLIT-OFF!!!!
an even better explanation is that this SPLIT-OFF is, in effect, a BUYBACK of pfe shares using zts shares as the currency to do the buyback.
there's no class action basis here. it's simply a matter of pfe shareholders making up their minds as to which stock they would rather own.
if they don't want either, the simple solution is simply sell their pfe shares and end it all!!!!!

I am a little confused with your question, but I do know that it is a 'choice' for PFE shareholders to elect to trade their PFE shares, tax-free, for ZTE at a 7% priemum.
I dont know where a class action suit would fall into that. PFE is doing this to relieve itself of ZTE expenses on thier own financials AND at the same time buy back shares to increase their book value.
