Why Haven't You Sold Your A shares and Bought B shares?
First paragraph of Section 5.9 (Reclassification) in the tender offer states that it must be proposed within six months after close of the TO and that SunPower agrees to vote in favor. Total, now a 60% owner will presumably also vote in favor, since it's a requirement in their own offer.
Shareholders must vote on it. That's why it has to be proposed. It's just a formality. It will happen because...
Total's votes alone would be enough to ensure that the proposal passes. (Remember, it's Total that wants this.) In addition, per the TO, SunPower must also vote all their shares in favor as well. Read the TO. There's no plausible scenario under which shares will not be reclassified within six months.
