No, they would not have to and have done it without doing it in the past. At one point I believe they were selling their shares and shorting it to drive the price down to get more shares in the next tranche. Nothing to say it isn't happening again.
Also, does the restricted stock units recently issued to the members of the Board of Directors explain some of the increase in share count?Are there other restricted stock issued as partial compensation to employees?
