Can Someone Please Explain the Options in Layman's Terms

So say the stock falls to 25c. People buy in and still there is no decision yet.
    Then ,
Scenario 1) The judge says Merger can happen.
Scenario 2) He says the company can exit alone.

    1) The company has 4.5 B$ cash reserves, and can technically operate alone for a while. What happens to the shares which are in the OTC ?

    2) This is what AA wanted all along because they would issue fresh shares and Horton and co would make a killing on the fresh share issue. In this scenario will the OTC shares of AAMRQ become worthless? Or will they give you a fraction of the new AMR shares for the old one?

    - thanks
