    Letter of Intent with California Environmental Company

    EVIRUS SOFTWARE CORPORATION ("EVC-V") - Letter of Intent with California Environmental Company

    EVirus Software is pleased to announce it has signed a letter of intent with a private California company, Environmental Control Technology Corporation (Emcotek). On completion of the intended transaction, it will result in a change of business and a reverse takeover of eVirus by Emcotek. The transaction will be subject to due diligence, a financing, board and shareholder approval of each company and the approval of applicable regulatory authorities.

    The following description of Emcotek and its business is taken from their sales and information package.

    "The advanced technology developed by Emcotek for Medical, Municipal, and Hazardous Waste Incinerate Pollution Control provides a solution for stringent particulate removal, heavy metal removal, and dioxin removal where acid gas control is also required.

    Since the founding of Emcotek in 1979, the company has been developing proprietary advances technology for air pollution control. With installations all over the USA and abroad, the Rotary Atomizing Scrubber has clearly performed better than expected in very demanding applications recording outlet average particulate concentrate as low as 10mg/NM3 (0.005gr/DSCF) corrected to 7% O2 dry on incineration applications.

    Emcotek is the leader in Wet Scrubber Technology for HMIWI (Health and Medical Infectious Waste Industry) applications with more installations below 34 mg/NM3 (0.015 gr/DSCF) than any wet scrubber supplier in the USA. Emcotek systems have recorded some of the longest operating history in the industry in meeting the new, stringent requirements for particulate, dioxin, heavy metal, and acid gas removal. In addition, to offering equipment and process engineering to its customers, Emcotek routinely provided supervision of field installation, on-site training, and turnkey installation of its own technology and is also a turnkey supplier for the incinerator, boiler, and OEM/DAS (Continuous Emission Monitor/Data Acquisition Systems) system."

    Under the terms of the letter of intent, eVirus is required to find a marketing program and help Emcotek expand beyond its current strong equipment manufacturing and sales business. Emcotek currently has orders of over US$3 million and many proposals pending. In response to the market and existing expertise, the management of Emcotek want to expand its operations by adding three business areas that would include owning and managing incineration facilities, a services subsidiary and a consulting group.

    The CEO of Emcotek served on US Environmental protection Agency (EPA) panels, committees and advisory groups in the 90's that established standards for all relevant industries in the US. He is currently a participant of the US sponsored delegation attending the Cleantech Environment 2001 Trade Show in New Delhi, India here he will be a featured speaker as well.

    Emcotek's equipment and technology has also been chosen for the EPA's new facility at Raleigh Durham, North Carolina. The Company has installations at the Boca Raton Hospital, JFK Medical Center, at US Universities, a US Navy installation and 4 Veteran's hospitals. They also have installations or orders at sites in Toronto, Brampton and Ottawa.

    There will be no consolidation of Shares of eVirus but the name of evirus will be changes to reflect the change of business.
