Is the Genon Energy takeover a fair deal ?

First of all I guessing that the majority of the big sharesholders (GEN) has already agreed in advance to the meger with NRG or NRG would not have made the announcement. That taken I believe NRG is getting a lot of power plants very cheap. It welll know that (GEN) is worth at least $7.00 per share if sold today. Selling or swapping share and saying (GEN) is worth only $2.20 per share is very low. The only hope shareholder have is to hope theor new shares in NRG goes up a lot. NRG would actually have to go up to $50.00 per share before (GEN) shareholder would actual get their fair value back on their lost shares in (GEN) due to the merger. For every 8 shares of GEN shares you get only 1 share of NRG. I believe (GEN) could make a effort to cut cost and than sell the company for a profit. The only way is to stop the merger is to get the lesser shareholder together as one unit and vote no! or finout if the (GEN) board of directors actual gave notice to other companys also that might wanted to make a offer. What is (GEN) motivation for this deal? needs to be answer also.
