ZLCS GAVE LPC 800,000 shares of ZLCS, Recent Financing DILUTES shareholders
From SEC filing.
"As consideration for entering into the Purchase Agreement, the Company has agreed to issue to LPC 800,000 shares of Common Stock. The Company will not receive any cash proceeds from the issuance of these 800,000 shares."
In addition to this 800,000 share dilution, what ZLCS shareholders really got was another dilution.
ZLCS GAVE LPC shares for the right to sell them more shares over the next 2 years.
End result is that they can raise money at the expense of shareholders.
It's one of those things you gotta do when you're still in startup. I got in Sirius at 45 cents a share a few year s ago. They were doing the exact same thing over and over with one investor/financer in order to stay afloat. People whined and whined about it. Now, it's at 3.40 a share.
