    newbie que

    Since AMGN is acquiring ONXX for $125, why is the price $123.5? Anyone buying at the price should get, if the deal goes through and if it doesn't that'd be because the lawsuits would demand a higher price, which again is good if you bought at this price. Also seems like ONXX at the very worse is a stellar company if left independent. What am I missing??

    • think of it this way..................if the stock was selling for 125 today who would buy it?? You have 70 million shares to sell, so if you want a buyer you have to accept less than 125.

      There is a chance that the deal is cancelled. Any material bad news from ONXX gives AMGN the right to walk away. Pharma deals have a special risk because at any moment the FDA could jump in with a bad ruling, or news of trouble with a drug. The stock would then sink far below where it was trading before the first show of interest in buying the company.

      Another risk is the chance the deal is delayed. The FTC could decide to investigate the deal in more depth for antitrust issues. On the surface, the markets from the approved drugs from the two firms do not overlap, but the FTC will also look at any compounds in development as well as IP positions. In a deal this size, it is not unusual for the feds to take months to examine all assets.

        no chance the stock was only 86.00 when Amgen made offer and they paid 125.00 and let Onyx keep their cash, no other bidders... Deal is done, I would ask Onyx what they are doing with your cash, take the money and buy Amgen....

        You are a complete imbecile. There is NO chance the FTC intervenes to stop the deal because there is NO overlap between AMGN and ONXX. Now if CELG had bought ONXX there might be anti-trust issues due to the Multiple Myeloma assets, but that isn't the case with AMGN.

    • A price lower than the announced deal always happens before the deal is finalized. Some people want their money ASAP, so they give up a little profit for getting money sooner rather than later.
