so oppenheimer and craig hallum are acting as co-managers on this offering. the same company that said they will become a household name. shares will be sold in private placement and will include the 3.3m optional shares. watch and see. i think the sell may actually happen real soon. dividend timeframe imo will have no effect on when the sale happens.
Amazing to me the number of companies involved in this offering. I think they are included as they have an interest in owning shares...........or have clients with strong interest. I suspect these will be sold quickly. The bullish indicator will be whether the 3.3 million oversubscription will be sold which I think they will.
"Citigroup Global Markets Inc. will act as global coordinator for the offering and Citigroup Global Markets Inc., Merrill Lynch, Pierce, Fenner & Smith Incorporated, Chardan Capital Markets, LLC and Credit Suisse Securities (USA) LLC will act as joint bookrunners for the offering. Oppenheimer & Co. Inc., Rosenblatt Securities Inc. and Craig-Hallum Capital Group LLC will act as co-managers for the offering."
I wish the prospectus was linked as it would be interesting to see the price (and discount) and the timing. While we are waiting on the announcement, the record date is generally early July.
This is bullish for several reasons:
- This keeps shares from flooding into the market and affecting price via daily supply & demand
- Buyers will be educated and will fully vent HIMX and then want to own shares which will be a huge dose of confidence in HIMX
- Buyers will mostly be funds/institutions who will hold shares so the float will stay lower which is better for price movements (mostly up due to good earnings to come)
- Allows larger buyers in who get a great deal as the daily trading price will not get run up on them as they buy millions of shares (although I would lvoe it if they did)
The short interest for 31-May comes out tomorrow. I wonder if any larger short tries to buy into this offering.
Let us know if anyone finds an online prospectus. The keys will be the price, the effective date (as compared to dividend date) and then if the extra 3.3 million shares get bought.
