Insmed Incorporated Message Board

  • michael_coen May 6, 2013 5:12 AM Flag

Insti's own almost 20M shares (62% of shares outstanding)

Keeping tabs on who owns Insmed is not difficult.
To get the most accurate data you need to find the "full text search" page of the Edgar SEC website, and when you get there, click/select "Advanced Search Page"
Then you can search for the term "insmed" in the entire SEC database.
You only need to look for "insmed" in the 13F-HR's (the quarterly 13F holdings reports)

    Search for Text = insmed
    In Form Type = 13F-HR
Sort By = Date (Latest First)
    Between These Dates: (you decide)

leave other fields alone, and click "Search", and there you have it...

If you "right click" each result and open in a new tab, you'll get each 13F-HR text in a new tab, then just use the browser to search "insmed" - you're looking for the number of shares "SH"

You can easily create your own Excel list and track the changes each quarter.

Of course, it tells you nothing about who is shorting, and the data changes so slowly (once/quarter +45 days delayed) that you can do nothing to protect yourself, but you get the most accurate picture (over time) on which funds have confidence in Insmed regardless of the Russell Index, and you can figure out who buys/sells as a result of the Russell re-balancing (quarterly +45 days delayed)

As of today, 62% of the shares outstanding are held by insti's.

There have been some ups and downs; mostly ups, additions and new-comers.

    • Here's the estimate I posted recently of the holdings of the former Transave stockholders -

      2,927,094 - Quaker BioVentures
1,915,122 - TVM Life Science Ventures
      1,888,165 - Prospect Venture Partners
1,881,752 - FMR (Beacon Bioventures / Beacon Bioventures Principals)

2,818,594 - FMR (Fidelity Management and Research / Pyramis Global Advisors Trust)
      2,433,319 - RA Capital Management
      1,483,870 - Ayer Capital Management

      1,175,920 - Bessemer Venture Partners
      Unknown - Forbion Capital Partners
Unknown - Easton Hunt Capital Partners

1 Not all of these funds have holdings sufficiently large to require reporting. The web sites for the last two funds include Insmed in their lists of investments.

      2. The higher holdings I've shown for TVM and Prospect include the proportions of their holdings currently retained by Insmed under the terms of the 2010 merger agreement.

The key calculation for me here is the number of shares NOT in the hands of insiders and fund managers who have a clear idea of the likely value of the shares with strong Phase III results. If the agents for the Russell 3000 tracker funds do indeed have to accumulate four million shares by the end of June that will surely be an uphill task when the relatively naive retail holders are only holding around ten million shares.

If anybody here can think of a reason for an experienced fund manager to supply shares to the tracker funds at a substantial discount to the likely price after strong Phase III results have been released mid-year I'd be interested to hear it.

      • Yahoo reports under their Major Holders for Insmed that FMR LLC holds 4,700,366 shares as of 12/31/2012.

It also reports the following Fidelity mutual funds:

Fidelity Small Cap Opportunity with 866,179 shares as of 1/31/2013
Fidelity Small Cap Growth with 800,000 shares as of 1/31/2013
Fidelity Stock Selector Small Cap with 452,711 shares as of 1/31/2012
Fidelity Select Portfolio-Health Care with 264,994 shares as of 3/31/2013
Fidelity Dividend Growth with 131,000 shares as of 3/31/2013
Fidelity Select Portfolio - Pharmaceuticals with 68,700 shares as of 3/31/2013

Do you believe that they are owned separately from FMR LLC, or are they part of the total shares of FMR LLC. Or is Yahoo in error?
