INSM Transave connections. Remember when Trans was shoved down INSM shareholder throats

Transition logistics for the combined company, which are expected to be completed in the first quarter of 2011, are already underway. The combined company will be governed by a four person Board of Directors with three directors remaining from the Insmed board and one director joining them from the former Transave board. Mr. Donald J. Hayden, Jr., Transave's former Chairman, will serve as Chairman of the combined entity. The executive team will include from Transave, Mr. Timothy Whitten, who will be President and Chief Executive Officer (CEO) of the combined company, and Dr. Renu Gupta, who will serve as Executive Vice President, Development, and Chief Medical Officer, along with Mr. Kevin Tully, who will remain as Insmed's Chief Financial Officer, and Nicholas LaBella, Jr., who will remain as Insmed's Chief Scientific Officer.

Transave was backed by multiple well-known biotechnology venture capital funds, including Quaker BioVentures, Fidelity Biosciences, Prospect Venture Partners, TVM Capital, Forbion Capital Partners, Bessemer Venture Partners, and Easton Hunt Capital Partners.

    • Beginning to look more and more like Fidelity and Quacker BioVentures has set this action up yrs. ago.

Now I have to wonder why INSM responded about the legality of the dilution so quickly. Is there something else going on that Mr. Lewis is not speaking about. As I dig and remember when that BS shame was run down shareholders throats. IS management hidding something. I for one was a big fan of Will Lewis now I am beginning to think twice. As FMR continues to sell sell sell. Now trying to dig up just how they accumulated so many shares. Help would be appreciated.

      • I would think that Insmed is savvy enough to read these boards at least once a day. With a few here banging the drum to rally the naive to contact SEC it would be prudent for Insmed to contact H&W and have them opine on the offering. A couple of days work for a couple of attorneys.

      • The shares recently sold were part of the Beacon Bioventures holdings acquired under the merger agreement.

The holdings of the other two FMR subsidiaries were acquired after the merger.

"Beacon Bioventures Advisors Limited Partnership is the general partner of Beacon Bioventures Limited Partnership and Beacon Bioventures Principals Limited Partnership.

The general partner of Beacon Bioventures Advisors Limited Partnership is Fidelity Biosciences Corp., a wholly-owned subsidiary of FMR LLC."

        June 2013 -

"Beacon Bioventures Advisors Limited Partnership is the general partner of Beacon Bioventures Limited Partnership and Beacon Bioventures Principals Limited Partnership.

Beacon Bioventures Advisors Limited Partnership is solely managed by Northern Neck Investors LLC, its general partner and investment manager.

Northern Neck Investors LLC is owned, directly or indirectly, by various shareholders and employees of FMR LLC, including certain members of of the family of Edward C. Johnson 3d."

      • I am also beginning to wonder if any of INSM board members are affiliated with Quaker and or other firms that were backing Transave.
