In most cases the severe problems of any corporation can be traced back to the Board of Directors. Too often various stages of collusion between the CEO and the board dictates the direction of the company. Usually the collusion attempts to line the pockets of the board members and upper echelon mgt.
Whenever a corporation does suffer problems, the upper echelon usually do not suffer the same degree of loss as the little common share holder.
