Equity Residential Announces Closing of $9 Billion Archstone Acquisition
CHICAGO, Feb 27, 2013 (BUSINESS WIRE) -- Equity Residential EQR -0.02% today announced that the company and AvalonBay Communities, Inc. AVB -0.47% have completed their previously announced acquisition of the assets and liabilities of Archstone Enterprise LP ("Archstone") from Lehman Brothers Holdings Inc. ("Lehman"), which consists principally of a portfolio of high-quality apartment properties in major markets in the United States. Under the terms of the agreement, Equity Residential has acquired approximately 60% of Archstone's assets and liabilities and AvalonBay has acquired approximately 40% of Archstone's assets and liabilities.
I'd be very surprised if a merger that kept the NOLs intact were allowed. Doesn't pass my common sense test. If that were the case, this stock would have been worth the tax savings on 900m in NOLs or about 300m from day one. They simply could have sold the company to the highest bidder. The fact that it came out of bk and was worth only what income it could generate against its assets tells us a merger wasn't allowed.
Why did Sam Sell invest 3 million $'s (11 million shares) in this company.
He has a board seat.
This POS has not performed all but one QTR since exiting BK would you invest your hard earned money in this POS if you didn't have a plan?
