Should one take the 13.78 and run? Wait until deal closes so you can get the extra $2 (up to $2, in 2 years or so )? Do you have to be a shareholder at time deal closes? Or can you sell this stock at a given point and still get the $2?
Personally I don't have a super large holding here and I don't want to shoulder any tax burden , so I think I am quite comfy holding pat as I think there is nothing but upside here as gravy. Really ...we are in a GREAT position...imho. . Good luck and AGTG!

How in the heck did you get that out of the announcement from TSRX that "The CVR will entitle each Trius stockholder to receive $1.00 per share if net sales of tedizolid in the U.S., Canada and Europe are greater than or equal to $125 million in 2016 and up to an additional $1.00 per share, paid on a pro rata basis, for 2016 net sales between $125 million and $135 million." ?
The relevant sales are for one year only - 2016. if there will be any additional payments beyond the $13.50/share it won't be until 2017.
There is absolutely no reason to sell at this offer, now only .25 over the definite $13.50 offer, plus an additional $2.00 PPS provided they sell $100 million in TED each of next two years, this is a small amount, so you will probably net the $15.50. But you have to hold the shares until you accept the offer to get the additional opportunity for the extra $$$$. Very worthwhile plus, this offer is not set in stone, as much as they think it is....
