    Officers are "AWARE" of Complance issues and have been firing reps left and right to "ACT" and cover USD Managements but. Paul Bae the former General Council of USD now an officer of the company is well aware of all the violations of the Sarbanes-Oxley act. Just ask the Vickie McCormick the Corporate Compliance officer why an employee was dismissed rather than deal with the violations.

    • Why would the General Couuncil be sending out e-mails to employees about this activity if it wasn't going on?

      This e-mail is dated March 27th, why doesn't the company disclose the issue in the 8-k filed on April 19th?

      Re: Code of Ethics - Update on Policies and Procedures

      As you know, USD has adopted the AdvaMed Code of Ethics (�The Code�) as part of our policies and procedures. This memorandum is intended to reinforce your previous training on The Code and provide additional interpretation.

      1. Assisting with Clinical Studies. It is appropriate for a USD representative to forward to his or her manager or the appropriate clinical organization an interest expressed by a customer to participate in a clinical project. Otherwise, USD employees and representatives should remain uninvolved with studies, surveys and questionnaires except as specifically instructed and authorized by the USD Legal Department. Examples, although not all inclusive, of prohibited conduct by USD representatives are:

      a. Helping select investigators;

      b. Helping select clinical sites;

      c. Assisting in completing surveys or questionnaires; and

      d. Collecting data for studies.

      Notwithstanding the foregoing, USD field personnel may respond to technical questions posed by healthcare professionals about STJ devices involved in the study. Further, if requested by the FCE organization or the healthcare professional, USD personnel may assist in the collection of data. However, USD personnel may not be involved in assisting healthcare professionals in tasks for which the healthcare professionals are receiving remuneration.

      2. St. Jude Medical employees must be present at all Sales and Promotional Meetings with healthcare professionals. The Code allows meetings to discuss product features, contracts and sales terms. The Code allows industry representatives to pay for occasional and modest meals and drinks. It is inappropriate for St. Jude Medical representatives to pay for meals and drinks but not be present for the meeting and accompanying food. The company representative must be present for the entire meal and be the person settling the account at its conclusion.

      3. Paying for meals and drinks for healthcare providers at tailgate parties before, during and after sporting events is not appropriate. The reason for the prohibition is that the primary purpose of the aforementioned meetings does not involve a discussion on product features, contract negotiations and sales terms, which must be the main reason behind these meetings. You may attend sporting events with healthcare professionals as long as the cost of food and drinks are equitably shared between the parties, and employee does not pay for the cost of the event (tickets).

      4. Attending Sales and Promotional Meetings � It is appropriate for employees to pay for occasional and modest meals for health care professionals for the purpose of exchanging information, including those related to product features, contract negotiations and sales terms. The company has defined �occasional� as a maximum of twelve (12) meals/meetings each year with each specific healthcare professional. �Modest� is defined as $150 plus tax and tip per interested person (St. Jude Medical employee and healthcare professional) at the meeting.

      The above examples were not meant to be all inclusive, but were highlighted as issues that may more frequently present themselves than others. If you have any questions on whether other conduct may violate the Code of Conduct and company policies, please contact the USD Legal Department in Austin at 512-732-7400.

      You may want to consider the ramification of your words and your post. By the way, if you reread my note regarding my profession, you will find that there was no disclosure of my profession, your interpretation of my words, was off the mark. I will clarify for you that I do not work for a cath lab, but I do have relationships with them. With that said, the continued hate and harassment that you spew is not surprising, when you think so little of people who may not have the same financial opportunities or resources as some of us have achieved. Again, I hope that you can find something positive to focus on.

    • After rereading your post, I was confused by your statement that the company was not dealing with the so called possible SOA infractions. You said they fired the personnel that were involved infractions. It sounds like they were making a huge statement by letting the so called perpetrators go. If that is not dealing with the issues, than I am confused. Anyway it sounds like you may be disgruntled employee or former employee.
