Well, see your tax advisor is all I have to say.
In a nutshell, when you exercise an ISO, you do not
incur any tax consequences except you get a Alternative
Minimum Tax preference item. For most people this is not
a major item. As long as you hold the shares (after
exercise) for more than 1 year, any gain you realize after
you sell is long term capital gain.
When you
exercise the NQ (non qualified stock options), you
recognize ordinary income upon exercise (cha ching) and the
ole SSA gets their FICA tax too. Say you are
fortunate to be in the 31% Federal bracket
(marginal):
31% To Feds
9% to State of CA
7.65% to FICA
(you may get the 6.2% back if you go over the
max)
47% of your gain in the NQ goes to taxes (and no less
than 40%).
I guess 53% of of something is
better than nothing, but I prefer the ISO
myself.
