They have to update their shelf every 3 years. See their last filing was 9/11/09. Purely administrative with the SEC. All companies have this requirement. They have to update all the company info contained in the filing.
Maybe doesn't feel that silly. After the close Friday, he called the stock to be lower by 20-30 cents right after Monday's open. Somebody seems to have been upset by the filing, administrative or not, and sold this morning dropping it to $3.01. That's not just a random move, but almost a 10% drop from the git-go. Anyway, if it was just administrative with no real intent to offer stock near term, the company should probably clarify that is the case. May still be investors out there thinking the filing is indicative of something coming.
