Why does the Board of Directors at SD get paid more than the Board of Directors at Exxon? Is the payment to the SD board members so that they will do whatever the CEO asks for?

SD is a good company for officer and director compensation and stock options but bad for investors who have seen an 80% decline in share prices since the IPO.
