this one is a classic. watkins is driven out of his previous company (NET) in disgrace (but with a large "go away" severance) along with other execs, takes a couple months off to ski & let the publicity die down, then emerges as CEO of the next victim (RSNT). he then hires one of his old NET CFO buddies to set up and pull off this deal (via rocket holdings, a front this this type of transaction). its so small compared to all of last year's major corporate scandals that no one at the SEC or anywhere will pay attention. these guys will walk away with millions. its clever, and surprisingly, probably legal, but arguably unethical. way to go guys!
