    Yahoo insider transaction or roster? SEC filings link?

    Can someone tell me why Yahoo Finance has no information about insider transactions or insider roster? Or link to SEC filings???? I'm trying to figure out how many shares the deceased CFO's family controls and can sell now.

    • BIDU is a Cayman Islands holding company; the shares trading on Nasdaq are American Depository Shares.

      Since BIDU is not a U.S. corporation, you won't see any Form 4s filed showing insider activity. (I'm not familiar with the specific details on the law/SEC guidelines on this, but consider the fact that foreign companies can get away with NOT disclosing insider activity as a clear demonstration of how the SEC/securities law does NOT protect investors.)

      Of course there are lots of other "screw the public" details in the 20-F (the annual report) BIDU files each year. If you haven't read it, here is a good link for last year's:

      If investors would actually read some of the SEC filings of the companies they buy stock in, we probably wouldn't have the sort of crazy overvaluations we see in companies like BIDU.
