belie the idea they selling it to UTX.
This wouldnt be the first time that an announcement
of a joint venture preceded a merger.
think that there may be some significance to the fact
that the announcement came out of Fairlawn and not
Sacramento. It sorta says: look how many irons Aerojet has
in the fire! They aint no small-cap! They a big
dog!. Doesnt this make WolffeCo look more
One last question: if you were P&W and you were about
to make the Sacramento facility an important part of
your future, would you leave it laying around on the
open market? Especially since it can be had for soooo
cheeeap? Or would you have first talked it over with Yaz
while golfing around two years ago. While you were at
it, wouldnt you have suggested someone to run

Yes, I know I repeat
Hiding profits until after the
spin-off will raise Gencorp/Aerojets proportion of the
market cap. That means UTX will have to cough up a few
more shares. (I guess the people in Fairlawn think
theyre real smart nickle & diming those yokels from back
east.) Aint much that UTX or anybody they have
installed in California (assuming they have any not so
ex-employees there) can do about it. Besides, even if the
split were to go 95%/5% (for arguments sake though its
*not* likely or *desirable* to *anyone*) Aerojets
facilities are still a bargain for UTX. (And they can still
get cash for electronics and vehicle
After the split, the hidden profits materialize and go,
undiluted, to improving Omnovas value.
My guess is
that its probably good for all of us: some run-up in
Omnovas price, more shares in UTX. UTX is probably
getting $100M worth of laughs out of watching a company
acting like somebody in a divorce settlement trying to

U alrite Tek,cuss too much, but you,ll do.I,m a
people person Tek,not much money in it,but it pays the
bills.I didn,t mean to underate aero, the fact is that,
Aero has some of the best knowledge(people, not
company) in the field, badly undervalued, but will be sold
for a song.Auto, also, very steady at what they
do;but, with related field mergers, will be bought for a
chorus. This leaves your hated wallflower group,.....?this
group concerns me, too many unknowns,a lot of
variables,....a lot of accounting....pharoh hisself wants to
drive the chariot...?interesting,at least, but enough
to buy a boutoniere,that,I just don,t know,Tek.

I can't believe the article in The Cleveland
Plain Dealer on 9/12. Excuses of cut backs on
electricity allocations - this was for 1 day only and only at
Wabash, IN. Spokeswoman admits she doesn't have all the
facts. I hope someone near the pharoah does since as the
article states, "shares plunge and plummeted". I believe
that the Arkansas facility was A/C'ed this year. The
article gives no real answers as to which companies are
missing the numbers and by how much. It appears that
since the proxy shows how well the 14 retained
executives are being rewarded, they don't care that the NEW
