Ahh the rub to this whole thing. The first question is what really is the current cash position since they have not reported 1Q. Second, how is the $16MM being paid - cash or stock or a combination of both? Third, if they have the $7MM pre-food sale in cash plus the $13MM - how can the company sell for $16MM? This makes little snese unless they lost a huge amount of money (and had huge negative cash flow) in the most recent 6 months.
If the deal didnt mention it being in shares, its in cash.
They arent selling the cash, just the business. The company will still exist after the sale with all the remaining cash. The 8k mentioned some bonuses paid to the managers as well as options which could dilute us a little.
