October 1, 2013. 6,000,000 common shares in the United States and Canada at the offering price of US$25.39 per share, for gross proceeds of US$152,340,000.
Morgan Stanley, Jefferies and Deutsche Bank Securities are the joint bookrunners for the offering.

I worked in investment banking. Morgan Stanley, Jefferies and Deutsche Bank have been hammered by their BEST customers as to “why did you recommend this POS at $25.39 per share”. From the analyst to the CEO’s office, they were humiliated.

They are looking for the first piece of good news to come out with Strong Buy and Buy recommendations! I look for the investment banks to take action this week.

Adjusted EBITDA was $112 million for the first quarter 2014, which exceeded the high-end of our guidance.
Production was 37 Bcfe, or 407 Mmcfe per day, for the first quarter 2014, which exceeded our mid-point guidance.
Oil and natural gas operating costs and general and administrative costs for the first quarter 2014 were below the low-end of our guidance, reflecting continued fiscal discipline.

  • Interesting in that the WPRT CEO says he believes long haul market will be LNG. Short haul would be CNG. For US truck sold in 2014 he expects, CNG vs LNG split 60/40 or 50/50.

    Sentiment: Hold

You must be short and getting killed. Short more, in fact all your money then when they margin call you, you will be out of the game forever!
Hmmm. So you believe local government, state governments, and the US government will allow the ENN Group to do busines in the US with equal ease as a US company. Have you ever heard of local politics? Read up!

  • This is a piling on of good news. Sure seems like a “tipping point” is happening for CLNE.

On Friday Obama finally endorses nat gas for not only trucks but cars.

CEO of GM on Friday calls for the government to give Nat Gas Infrastructure Subsidies.

ENN, a private Chinese company, declares they, too, will be building out the nat gas super highway.

And great video on CLNE by mot fool that was done today, Saturday March 16, a must see video.

    Sentiment: Strong Buy

It is the growth potential, the ability to build more and be the industry leader, the industry expert...you do realize "brand" matters especially in the USA. CLNE is clearly the leader right now and that "brand" has value.

What is just the name of Coke worth, $50 billion??? You don't value Coke just based on their P&L as that Coke name is their #1 asset.

Look at Google in 2004! Look at Apple in 1998! Look at MSFT in 1988!

You need to get off the board and go look for "value" plays as this is a growth and "natural gas revolution" play! I see in 10 years 25% of new cars being sold using nat gas, I see in 15-20 year 50% of new cars being sold using nat gas. If you believe that story then you canrecognize CLNE is dirt cheap right now!

And won't it be nice that we won't have to send our boys to the Middle East to fight wars and be killed & maimed in the name of oil.

    Sentiment: Strong Buy

Agree USA has been sloooow to adopt. But Obama has been at best a "neutral" supporter of nat gas...clean energy "yes" but Obama to date has been promoting solar, wind, electric. This is a shift. He should be a lot more vocal in his support of nat gas but this is a positive start!

Reality is nat gas is so important that he soudl of spent 5 minutes of his State of the Union just on the topic of nat gas yet he spent 5 seconds on nat gas!

    Sentiment: Strong Buy

Big news, Obama finally "gets it" about nat gas! This is great for the USA.

Researchers also would look to improve use of natural gas as a fuel for cars and trucks.

And keep in mind Jerry Revich did not even attend the conference call he had some flunky from Goldman Sachs asks his questions as he was at his #$%$ waxing appointment...He first said to sell at $26, why does he even have a job!

I was on the call last night, that clown Jerry Revich was NOT even on the conference call, he had some other "flunky" on the call for him from Goldman Sachs to ask his questions. What a joke at least attend the conference call and be man enough to ask your own questions! This idiot put the Sell rating when it was $26 - why does he still have a job???

    Today he says...
Analyst Jerry Revich said, "We reiterate our Sell rating on WPRT as (1) the Cummins JV that accounts for nearly all WPRT's mediumterm profits and cash flow is scheduled to terminate in 2021 with a buy-out option at 1.3x EBIT in 2019, (2) high distribution support requirements limit normalized profitability for the Heavy Duty business as reiterated by 4Q results, and (3) alternative natural gas engine alternatives offer a compelling value proposition."

What do you expect the US has President Obama but even he cannot slow up the natural gas tidal wave.

  • Wow!

Based on this in the S3, most of the shares have likely already been sold, the news is great as CLNE essentially sold $100,000,000 of stock at $15.80 per share!!! From the S3:

The selling stockholders may also engage in short sales against the box, puts and calls and other transactions in our securities or derivatives of our securities and may sell or deliver shares in connection with these trades

My take on the CHK Covertible Debt

Based on this in the S3, CHK has likely already sold most of the shares. From S3:

The selling stockholders may also engage in short sales against the box, puts and calls and other transactions in our securities or derivatives of our securities and may sell or deliver shares in connection with these trades.

  • CHK is exercising their convertible debt @ $15.80 a share. CLNE will ELIMINATE $100 mil of their debt off their books and record this as an equity sale. This will also eliminate $ 7.5 mil a yr in interest costs.

In the short term this will have a drag as CHK will be selling their CLNE shares that is why there is big time pressure on the stock price. Longer term this is great news for CLNE, it sold shares at $15.80/share, eliminated $100M in debt, and $7.5/year in interest expense.
