    Mergers and Acquisitions

    by nkl0145 11 hours ago

I've been in this for quite a while and to be perfectly honest with you I'm starting to get a little sick of having a carrot dangled in from of my nose. I truly realize the value of the company, however the company needs to recognize its obligation to shareholders. Top executives are handsomely compensated in more ways than one while SP has remained stagnant. My scenario gives the shareholder the option to get out with a substantial profit or hold for more as MultiStem evolves. My post is merely wishful thinking to pacify long term investors. An example of what I am talking about would be a one for one share swap with a company like PFE that is currently priced around $36.

  • Just some basic information on mergers and acquisitions. I know the company now claims to have a poison pill for any attempted takeover, however Gil and company may be able to swing a deal that makes everyone happy. I am thinking about a potential merger whereby we the shareholders acquire shares of a parent company at a approved price lower than Athersys future true value. We then have the option to sell shares of the new company or hold based on potential increased sales that MultiStem will bring. I realize we have a relationship with Healios and Japan is truly accepting of the Regenerative Medicine movement but in reality Japan is only a small piece of the puzzle once the ball really gets rolling. I envision this happening before MultiStem gets too far along in the process of attaining full approval in Japan. This is total speculation on my part but definitely a possible scenario.

The biotech industry is ripe for Mergers and Acquisitions as large cash rich drug companies look for promising new products.

It is expected that the company will file an IND with the PMDA in the mid summer time frame. I would guess that this will happen prior to Athersys release of its second quarter 2016 financial results on August 9th. Also I believe there will be an announcement of an expanded partnership which will include additional up from payments and royalties similar to those set forth in the IS trial.

The valuation on this stock has to increase as we move towards key inflection points. I find it highly unlikely that the stock will stay at this level them gap to reasonable valuations. As mentioned we had statistically significant improvement (p=0.02) from the phase II one year results. The stock is most definitely being accumulated right now. It will be quite interesting to see how the stock moves to true valuation.

Gil is well aware that financial results being reported on Aug. 9th need the impetus of news to maintain current SP momentum.

This is a misleading post this was not buying it was the acquisition of shares (Non Open Market) at $0 per share. Basically a gift to themselves for a job well done which I believe we will be finding out about in the not too distant future. All the people listed are people of strong Character and Integrity, they would not do this unless they were sure all will benefit in the end.

Athersys has positioned itself as the new "Best in Class" regenerative medicine company and it is just a matter of time before it's true value comes to light. IMO if you are looking to invest in Stem Cells this is the company you want to be in. Do your own due diligence then invest.

If you truly believe in MultiStem and understand how undervalued the company really is where else would you rather have your money. Phase II stroke results have already proved it to be a winner. Smart money is accumulating and are more than happy to take your shares

The problem lies with the fact that no one wants to make a commitment until the FDA and EMA recognize Stem Cells as a viable treatment. With that comes more definitive proof that Stem Cells have a profound impact on those that are treated. Hence the next comprehensive stroke trial with Healios which the FDA and EMA may recognize. The hold up right now could be that we solicited the FDA and EMA for their input on this upcoming trial and as usual they are taking their own sweet time.

As far as I'm concerned it is not a question of If but a question of When.

    no takeover global partners

    by cousinvinny62 Jun 10, 2016 7:14 PM

If what you say is true we will definitely be coming in the back door of the pharmaceutical industry. A large global partner would have more muscle dealing with the bureaucracy that goes along with breaking into an established industry. Not to mention the impact on the rehabilitative industry that has prepared itself for the onslaught of baby boomers dealing with the reality of stroke. I strongly feel big pharma has a huge influence on the FDA and the decisions they make regarding new technology especially those that directly impact them.
They have billions of dollars at stake and they are walking a tight rope on how they will handle this situation. Also consider the impact on our healthcare system with life expectancy's being increased by years.

We are not giving Gil the credit he deserves in navigating through the adversity of bringing forth this new technology. There is definitely more at stake then most of us realize. Athersys has positioned itself as the new leader in regenerative medicine and it is just a matter of time before our true value comes to light. Will the FDA be shamed into the the acceptance of regenerative medicine by the Japanese or take the bold steps necessary to fast track this truly unmet medical need.

I am not looking to get into a #$%$ match with you, my point is the company is grossly undervalued and based on recent Phase II stroke results alone with a Japanese partnership and PMDA approval the companies valuation will increase drastically. If Healios decides to sour the relationship and attempt a takeover for $6 I am most certain one of the Japaneese big pharma players would step in and the bidding war begins. Who do you think would win a bidding war between Healios and one of the Japanese big pharma players ???

  • nkl0145 nkl0145 Jun 9, 2016 9:48 AM Flag

Yes 2 1/2 times PPS however you and I both know current PPS in no way reflects the value of the company. I personally would not except $6 and most others on this board who halfway understand MultiStem's potential would not either. I think he is just trying to get a feel for what shareholders would except.

I really don't think you believe Healios will takeover Athersys, however I do believe you have an ulterior motive to see if people on this board would sell their shares at a low ball price close to $6. You probably work for a venture capitalist firm that is trying to get feel for what shareholders would except for this company. Much, Much higher than $6 my friend.

The people who shorted this stock did not realize this company would be the exception to the rule. This stock is reaching a point where they will be forced to cover, actually I see a break of yesterdays high ( $2.60 ) as a inflection point where they will have to seriously reconsider their position. They should consider themselves lucky they have not had to deal with a substantial gap up based on news. My advice to them is to re-evaluate and cover before loses become substantial.

Because the money managers set the algorithmic program to go back and reclaim as many shares as possible from Fridays run up on the Stanford University news. They are just trying to get back as many shares as they can before Gil and Hardy speak later this week. Its called shaking out the weak hands.
