Got into MAKO at a similar point... plan to approach this investment the same way including discussions with as many surgeons using the technology as possible ...
What if MAKO has made some last minute extremely troubling disclosures or Stryker has found something they do not like about the pending deal ??????
I am setting tight for now with a sizeable share block & plan to attend the meeting to get answers to a lot of WHY questions on this deal before voting !!!!!
Per Publication 505...
"No penalty. Generally, you will not have to pay a penalty for 2012 if any of the following apply.
The total of your withholding and timely estimated tax payments was at least as much as your 2011 tax. (See Special rules for certain individuals for higher income taxpayers and farmers and fishermen.)
The tax balance due on your 2012 return is no more than 10% of your total 2012 tax, and you paid all required estimated tax payments on time.
Your total tax for 2012 (defined later) minus your withholding is less than $1,000.
You did not have a tax liability for 2011.
You did not have any withholding taxes and your current year tax (less any household employment taxes) is less than $1,000."
It is my understanding that if you make quarterly payments totaling at least 110% of the 2013 taxes in 2014 there is no penalty or interest...
So as I stated, I hope that the sale of my shares occurs after 1/1/14 & I will have the use of the additional taxes due until 4/15/15 !!!!!'
That is a ridiculous statement ... Spoken like somebody benefitting from this transaction in a questionable manner !!!
Having attended the Annual Meetings for the past few years, I find a number of potential inconsistencies in Mako senior management comments at these meetings & at conferences as to achievement of profitability, clinicals, competitive status, growth opportunities, PKA &THA market opportunities pls TKA & other applications, international, etc.
WHY did they agree to sell for what is a fraction of likely value in a couple years once profitability, clinical data releases, procedural growth realized from new strategy, etc. are realized ?????? What is it they were NO telling us? What is the driving reason behind this sale? Were they looking at another cash raising need, marketing problems not announced, doctors deciding to stp using MAKoplasty in iincreasing numbers ?????
Don... What other stocks do you follow & post to Yahoo on... Would like to keep this going ... Mako has proven the value of shared research
Hopefully, there will never be a sale of Mako to a competitive healthcare organization, but should it occur the best time for the shareholders is when the full range of orthopaedic applications have been released & MAKOplasty is truly the platform for such surgery around the world ... Anytime sooner is unacceptable for me to assure that we all receive fair value for the investments made & being made daily ...
I can not wait until the various clinical studies are released & a few major multi unit orders occur combined with rapidly escalating procedure counts/unit & Mako is consistently profitable !!!!!
Sentiment: Strong Buy
