    (NewsTraders) -- Bell Atlantic Corp. (BEL) says
    it is comfortable with current analyst estimates of
    $2.70 to 2.72 per share for 1998, excluding transition
    and integration costs and other special
    items.

    The company, which stated this in an analyst
    conference call on October 28 and then recounts the
    statement in a Form 8-K filed with the SEC today, also said
    it:

     is targeting consolidated revenue growth of 4
    percent in 1998 and 5 percent to 6 percent

    business operations within the 10 percent to 12 percent

    Fred Meyer (FMY) and Kroger may be terminated if the
    deal has not been completed by 9/30/99, according to a
    Form 8-K filed late yesterday with the
    SEC.

    Under the terms of the agreement, Fred Meyer must pay
    Kroger an initial termination fee of $55 million if the
    deal is called off under certain circumstances. If
    Fred Meyer then enters into a third party deal within
    eighteen months of the termination, it must pay Kroger an
    additional $110 million under certain
    circumstances.

    If Kroger causes the deal to be terminated under
    certain circumstances, it must pay Fred Meyer a $90
    million termination fee. If Kroger then enters into a
    third party deal within eighteen months of the
    termination, it must pay Fred Meyer an additional $185
    million, under certain circumstances.

    As reported,
    each Fred Meyer share will be exchanged for one
    newly-issued Kroger share, valuing the merger at about $8
    billion plus the assumption of about $4.8 billion in
    debt.

    filing, bringing the total debt shelf to $8
    billion.

    The proceeds will be used to repay debt and also for
