  • Today's trading took on a different pattern at the end When the big seller showed up, a bigger buyer emerged and took everything they tried to sell and more, pushing the stock UP to close at the highest trade of the day on 51,000 shares at the close, on a day where we didn't cross through 50k until the last half hour. It looks like the momentum has shifted.

A filing from CVSL after the close to officially start the name change process. If you are short this stock, the countdown is starting today.

  • Todays press release announcing $49-$50m in revenue for Q4 and changing the name, symbol and cusip looks like step one in a series of moves by CVSL management to push out the large short position. An estimated 2 million share imbalance is believed to be a naked short position. If this and other steps taken by management works, those 2 million shares will have to be covered. With only 11.8 million shares in the public float and many of those increasingly held in strong hands, the buying of 2 million shares in a relatively short period of time should cause CVSL stock to move substantially higher.

    Sentiment: Strong Sell

  • Rochon was on the board of YGYI (I think it was called Javaolution then?) when naked shorts attacked and the steps he led the board to take took the market cap of YGYI from about $27m (where CVSL was Monday) to the $800 million range over a period of four months. That company was less than 1/10th the size of CVSL (in terms of revenue, sales reps, etc.). and the chart makes it look like started with a couple of 5-10% up days like CVSL just had. Because it is just now back over $1.00, tomorrow will be the first day that CVSL's gains will show up in most "top gainers" lists, so tomorrow may be the first day that many traders start to notice what is happening here. The Groove report posted right before the close today, so its likely that very few people have seen it.

    Sentiment: Strong Buy

I ate at at Blaze while attending a conference in LA last week. The pizza is good, but not as good as Pie5's thick or thin crust. Blaze has no thick crust option. The restaurant was dirty. But it was also very busy for 9:15pm on a Wednesday night,. I was very impressed by the volume they put through while I was there. Blaze is good, but Pie5 is superior in many respects.

No I wasn't around for that one. Tell me which quarter it was and I will check it out.

The IR rep for CVSL has confirmed the specifics of the imbalance and they say it is most likely a naked short position.

I don't think I have ever seen a company put out a PR about a short squeeze. Have you?

  • adinvestor1965 adinvestor1965 Dec 8, 2015 2:57 PM Flag

Do you think CVSL is lying about the naked short position?

  • Groove update on CVSL naked short position confirms it and describes the likely rationale behind it. But management has indicated sales were the best of the year in Nov. after the high level distributor departures so the theory is not playing out like the shorts seem to have expected

    CVSL Massive Short Discovered

You seem to be presuming that the short position does not exist. It may not "unwind" even if there is no such short position. There was no apparent reason for the price to have fallen so far after the last Q was reported. If you have watched the day to day trading since that time, it has all the earmarks of heavy short involvement. I guess we will know about the short position in due time, but for now CVSL is a very cheap stock even after today's rally

That is a shockingly risky position given how thinly CVSL trades, how many shares are owned by insiders and how well this company is doing right now. If they established that position in the last 45 days, they are short from $1.50 range or lower. They may already be upside down in the position as of today's move and the volume traded would not cover even 1/10th of that short position. Monday could be a moon shot if they try to start buying to cover. I wonder at what price they will start getting capital calls and/or closed out.

Well said French. Despite being very impressed with their operational execution, I think this management's unwillingness to communicate with shareholders makes some investors uncomfortable enough that they would avoid buying RAVE shares despite the obvious potential there. This in itself causes a higher cost of capital and negatively impacts the long term value RAVE is able to create for shareholders.

Have any of you tried Blazed pizza?

Blaze Pizza is very good. I would rank it second only to Pie Five and slightly ahead of Pizza Rev. All three are considerably better than Uncle Maddios and Pieology. I have taken groups of friends and family to several and Pie Five still ranked tops overall, some liked Blaze better and a few liked Uncle M's second, but Pie 5 was consistently #1 or #2 and Pieology was consistently last or second to last.

I would be very surprised if they went that route, but agree that would help explain the sell off. I think it is much more likely they get a LOC similar to the one they had that expired. They have a stronger financial position this time around and they should easily be able to get a line that would allow them to hit CY 2016 corp store projections and do it at a lower cost than the prior one.

Thanks extra_e_mail. I don't think management was being disingenuous when they said No about splitting the company. I agree that would not make sense. But selling a minority stake in Pie Five in an IPO is a totally different thing, as RAVE would retain full control over Pie Five and the additional cost of having two listed companies would be nominal compared to the increase in shareholder value and capital raising options.

Also, saying "at this time" is very telling. Of course they should not do the IPO "at this time", they should use cash on hand + a line of credit to open new corporate owned restaurants for the next few months and then file to sell a minority stake. There is no reason to do it today. I just hope we don't let Blaze, MOD or Pielology get too far ahead of us in that regard. We need to be at least second in line to get some of the benefit of the love that will be extended to whichever FC pizza player is first to IPO.

Fast casual group begins to strengthen....

Good point Bo. I have a watchlist for that action that did not include FRGI, but it did include Zoes. LOCO is another on my list - it had fallen 67% from its highs but over the last few days has found a bottom too and was up 5% yesterday. NDLS is another former high flyer that I think may have found a bottom a few days ago though it hasn't rallied significantly yet. But your point is a very good one - fast casual went from the hottest segment to very cold, making it easy to bring RAVE down with it. But it appears to have found a place where investors recognize it was again being overdone, this time to the downside and it appears that we may start to have sector winds at our backs for a spell.

  • From the GrooveVC Blog -

Dear Rave Management and Board of Directors,
On the eve of the Rave Restaurant Group annual meeting we wanted to offer up a few ideas for your consideration –

    1) If you love Pie Five like we do, set it free. IPO style.

Sell a small slice of Pie Five to investors who will be hungry for more. RAVE stock should never be sold for less than the price of a Pie Five Pizza ($6.99), plus we think it goes without saying that investors would be all over a shot at owning the first pure publicly traded pure play in the fast casual pizza space. So drop the ATM offering and lever up for a few months until you can get the S-1 filed. We suspect you are already thinking about parting with part of Pie Five, we just think investors should be given a clear time line for when you expect this process to start. Can you let us know what you are thinking? #FreePieFive

    2) Please consider having an open conference call each quarter when you report earnings.
If we are going to be in the “circle of crust”, we need to be able to communicate openly about things (like IPO timelines). #CanWeTalk

    3) Please consider getting a Pie Five promotional deal with Stephen Curry.
It has occurred to us that it would be really cool if the best fast casual pizza chain in the world could pair up with the greatest basketball player in the world. #StephRules #SorryLJ
