    Nothing on the EC site yet re: filing but you know they often run approvals in sequence vs parallel.

    question is: does JPM get the paper out the door asap w junk ticking down or do they wait another month to see if the market settles down? you have 2 windows basically; mid-end nov and early-mid dec.

    I'd imagine Vista will want this to go smoothly since it's the flagship investment for their new fund. They are no dummies.

    The spread will go to 20c or less on a good roadshow, quickly. GL,AT.

    You are welcome. The preliminary proxy just came out . Finance details are on p60. Suggest a keyword search for anything else. Also 'Regulatory Approvals' is another key section.
    BTW, mgt will keep up the happytalk no matter what. you can thank the lawyers who have to vet every single word they put out from now till the deal is done. Prob do a 'town hall' meeting and file same w SEC in the form of a Q&A. If the reiterate closing by 12/31, a very good sign. GL, hope you come out OK. AT.

    dh, the company guided to close Q4. The buyout will be funded by bank loans or notes. The banks do not want to hold the loans so they will try and sell the notes, instead. (loans are a plan B backup). There is a marketing period for the notes of 15 days-which adds time to the deal close.

    The concern is that the notes will not sell and the banks will refuse to fund with the bridge loan in the current credit environment (higher priced risk). That happened a lot in 2008, less of a risk now. I'm not worried -at this time- about antitrust, expect the deal to close by 12/19 if they crank up to sell the debt quickly.. Most of this info is in the proxy. I suggest you read it to make an informed decision. GL, AT.

    options usu accelerate to cash out after the merger closes. If you mean options granted to the execs, it's in the prelim proxy. GLTA, AT.

    MT, BYI is a done deal. Finance is sold and closed and we have a vote and NV Gaming left. I'm not a NV GC expert but do not recall them throwing a wrench into any prior deals. The only question is why the enormous spread remains? The AR is crazy high.

    FWIW, IR has guided to close after the vote or NV GC meeting -whichever is last.
