  • Training and knowledge transfer
    9.1CIT shall, on the understanding that it is Uni-Pixel's intention to transfer the Product manufacturing process within 100 days of the Commencement Date, provide reasonable assistance to:
    (a)train Uni-Pixel staff at CIT's (Cambridge) premises in the operation of the E&R Coating Line;
    (b)make relevant CIT personnel available to travel to Colorado Springs to train Uni-Pixel personnel in the operation of the Colorado E&R coating line (it being acknowledged that CIT is not entitled, under relevant employment contracts, to force any individual to undertake such overseas trip(s));
    (c)train Uni-Pixel staff at CIT’s (Cambridge) premises in the manufacture of ink;
    (d)advise on the procurement of inks, chemicals and equipment necessary to manufacture the Product; and
    (e)disclose all chemical, material, and consumable items needed to run the Product manufacture process within 5 days of the Commencement Date (including manufacturers, specific part numbers and specification requirements), and to make CIT personnel available to review and approve suitable replacements to this list in the event that exact copies are not available.

  • 9.2The parties acknowledge and agree that the obligations of CIT under clause 9.1 remain subject to CIT's obligation to manufacture the Product pursuant to clause 6 and, accordingly, the parties will co-operate fully to ensure that CIT's respective manufacturing and training and knowledge transfer priorities are discussed and agreed between the parties. Uni-Pixel acknowledges and agrees, in addition, that the ability of CIT to deliver training and knowledge transfer under this clause 9, particularly in relation to any extension of the Term under clause 2.2(b), is likely adversely to be effected by the expiration of contracts of employment of relevant CIT personnel during such period.
    9.3Any reasonable costs and expenses incurred by CIT in relation to this clause 9 (including financial incentives required to procure the relevant CIT staff to undertake such duties, and flights, hotels and subsistence) shall be reimbursed by Uni-Pixel within 30 days of submission of the relevant claim by CIT (failing which CIT shall be entitled to cease all further such assistance). Wherever practicable such costs and expenses shall be agreed with Uni-Pixel in advance.
    9.4 CIT shall reasonably assist in bringing up the Colorado E&R coating line as described under clause 9.1, to the same operational capability as the E&R Coating Line, targeting completion of transfer within 100 days from the Commencement Date. However, CIT gives no warranty, undertaking or representation whatsoever:
    (a)that the performance by CIT of its obligations under clause 9.1 shall be sufficient to enable Uni-Pixel to achieve such objective; or
    (b) as to the condition or specification of the Colorado E&R coating line (which is not, at the Commencement Date, in an approved state)and Uni-Pixel acknowledges and agrees that it will need to procure equipment and contract vendors, and provide suitably qualified staff, to achieve the same specification as the E&R Coating Line.

  • Notice below last sentence where it says the equipment that rxr mentioned was already at atmels Colorado site with missing parts is actually in Cambridge at the time of the April 16,2015 Heads Up Agreement.
    Any parts that maybe missing are those of UNXL to implement XTOUCH product.

    On the date of this Agreement, the parties have entered into a Patent License Agreement and an IP License Agreement related to Uni-Pixel’s right to use certain CIT intellectual property rights related to the composition and manufacture of catalytic materials and other materials used to manufacture the coated film, together with the equipment and processes to coat these materials onto base films, process coated film to form circuitized film, modify reflection characteristics, implement anti-corrosion treatment and add protective coatings to circuitized film, together forming the metal mesh based capacitive sensor material known as the Xsense product (collectively, the FLT Licence) Fine Line Metal

    E&R Coating Line means the Emerson and Renwick-built reverse gravure coating machine located at CIT's Cambridge site.

    Don't know who the Xtouch company is, they been around by the looks of it and they do have some nice looking phones. Alot going on in Africa with the phone market

    Get you some 3M 5200 and seal your skyllight forever. May find it at Lowes or a marine store, good stuff as it is also good for where tile meets fiberglass - tubs, showers etc - just need to tape it off. Made for marine applications.

    Even if the competition gives their touch controller away for free, UniPixels new xSense and Atmels maXTouch controller combination is still cheaper than an ITO sensor alone.The possibility of when a customer gives them specs for a new tablet they are designing, then one day later Uni-Pixel can begin producing.

    From unxl , OEMs will no longer have to worry about touch and display performance when selecting thinner stacks such as on-cell, hybrid in-cell, full in-cell touchscreens utilizing very thin film and glass substrates as well.

    Atmel said that the impact of their exchange rates on the gross margin is about 7 basis points to 8 basis points per penny of euro exchange. When measured this year against last year, the exchange rate has come down significantly. Last year, the exchange rate averaged $1.35, I know it's somewhat volatile at the moment, but there has been at least probably a $0.25 reduction in exchange rate. So, you can do the math there, that's about a 200 basis points headwind to gross margin. So, really on an apples-to-apples basis, the gross margin this year versus last year should be 200 basis points higher and that, I think, calibrates that headwind for you.

    As to additional design wins for touch, we are featured in a significant number of recently launched new products, including smartphones, such as Motorola's DROID Turbo, Sharp's AQUOS Serie mini, Kyocera's Mirai, Tecno's Phantom Z mini, and Xiaomi's newest Mi Note and Xiaomi Mi 4i. New tablets and notebooks powered by maXTouch include Samsung's Tab A, 9.7-inch; Google's Pixel Chromebook; Dell's Latitude 7000; LG's Tab Book Duo and G Pad F7.0.     Atmel and CIT didn't understand the technology UniPixel had created, or they would of been applying it to XSense without the need of UNXL implementation of their technology at the CS fab. What were the Fine Line agreements of the settlement between the three over each others tech ?

    imo A question as to why the naysayers don't bash the FlexTech Alliance, us gov, CAMM, AFLR, PARC, Dupont and others that have been involved with the backing and build out of the printed flexible technology ecosystem that UNXL is a part of. Though all those agencies have helped unxl as well as having major individual that's instrumental on the board of FlexTech and NBMC, Mr Thompson.

    Kodak, HP and a list of others that imo have been working with the above mentioned alliances even before the inception of unxl tech alliance with them. UNXL technology isn't new to Kodak or HP and lufkins cybershield is a supplier for the us gov. Possible once the alliances have been set with the next step in advancement of the flexible hybrid printed technologies then unxl could be expendable and has done its part for the ecosystem.

    If the anti-dilution provisions of the Warrants are triggered, there would be a decrease in the exercise price.

    Although the initial exercise price of the Warrants is $9.63, which was a premium to the price prior to the closing of $7.70, the Warrants contain provisions that could adjust the exercise price downward. The Warrant contains a weighted average price protection provision that is operable for the first year following issuance of the Warrant, and full ratchet protection for the remaining four years.

    On April 13, 2015, the Court approved the settlement of the Shareholder Derivative Litigation, which requires the payment of $150,000 in cash and 20,833 shares of the common stock. The cash payment portion of the settlement will be paid from insurance proceeds. The common stock portion of the settlement, totaling $125,000, is included in Other Expense and in current liabilities (Settlement of Class Action and Derivative Lawsuits) on the accompanying consolidated financial statements. Following issuance of the common stock in April 2015, this amount was reclassified to Additional Paid In Capital and Common Stock.

    Raj has 37 issued U.S. patents and 76 publications in the areas of spread spectrum coding, semiconductor lasers, micromachined light valves, micromachined displays, scanners, x-ray imaging components, amorphous and polysilicon circuits and systems, printed organic electronics, active matrix testing, and large-area acoustics. Technology Raj has worked on has been licensed to Xerox, dpiX, Sony, Cypress, UniPixel, UltraScan, and Stanford University.

    Rambus put all their Display patents including those purchased from UNXL with Acacia Research and then Acacia put them in Innovative Display Technology LLC (IDT).

    Appears IDT has been strengthening the grip on patents in court.

    UNXL can never match in-cell/on-cell SENSORS in price as UniPixel does not make DISPLAYS. It could do it, if TMOS were real, and before it sold it for $2 million to be thrown away by Rambus.

    Been traveling. Though watching things unfold. The tech imo is embedded and will be here for a long long time, imo the huge alliance will prevail more so than one singular corp. New 2015 patents fortified. Chatter has the squirrels running around the yard with their #$%$ in their mouths.
