    Where do so many dim people originate? Such mindless vacuous drivel day after dreary day. The only good news is that none of these veg are buying shares. So when that tsunami hits we will all know that whatever these veg post is the same dreary mindless vacuous drivel.

    When the tsunami hits we will a huge rise even before normal trading starts. It happened in March it will happen again. All the information why is in the public domain. Pity the veg can't grasp it.

    Sprint
    Plus two others unnamed, but announced as likely customers to be publicy announced during Q4,at the Q3 cc

  • Just how dim do you have to be to hear a company has four tier 1 carriers as customers plus a major cable MSO and not acquire any shares? You have to be even dimmer to have forgotten what happened when the Intel news was announced publicy, even though investors who followed the company closed knew this before the news was announced publicy..

  • When the inevitable share price rise happens, it will be clear any drivel posted by the veg about the shares they acquired under $1 will be just that. Mindless vacuous drivel, proving they are the dimmest of the dim.

    Indeed. Excellent point. It is the news black out that has got me thinking the board has decided to sell the company. And all the patents just add to the potential value of the company. To announce there would be news in late August/early September and then nothing materialises followed by a further announcement there would be news in Q4, and still nothing, leads me to believe the CEO is trying to give confidence to investors but is restricted in some way from announcing news. So either they are selling the company or the tier 1 carriers are experiencing delays so have refused permission for SMSI to make announcements. Right now, I think they have identified a buyer and are in the process of selling. But this is pure speculation and there could be other reasons for the news blackout.

    (5) The alternatives of finding the right managers to carry on the business or merging with another company would take up much management time and negotiation.

    So, given that the CEO spoke about PRs in late August or early September, then again at the last CC, during Q4, and still there has been no PRs, leads me to believe there is a news blackout. So the next question is what is a reasonable price to pay for the company?

    (1) Three tier 1 contracts with revenues about to ramp. Sprint already signed up - so a total of four tier 1 carriers generating revenues.
    (2) Animates recently launched and revenues from that product about to grow.
    (3) CommSuite revenues rising steadily
    (4) The P&G business is growing revenues steadily.
    (5) The amount of data carried by mobile networks is forecast tio grow substantially over the next few years.
    (6) There are around 45m shares outstanding.

    So, how to value the company? With just ONE tier 1 carrier when they were selling the connection manager the share price peaked at around $18 when there were around 29.6m shares outstanding. So that valued the company at around $533m.

    Now there are aound 45m shares outstanding so even being pessimistic and valuing the company at $533m with just one tier 1 carrier as a customer, the selling share price would be around $12.

    So what all this speculation depends on, is what is the potential value of the contracts they have signed with the tier 1 carriers and the major cable MSO? Given the CEO is so close to reitrement, selling the company for anything around $10 would be an easy way to generate the cash he needs for his retirement.

    Please, veg, do NOT comment on this post. It is way too complex for members of the veg community to grasp and comment on intelligently. This post and the previous one is targeted at the none veg community - those who have brains and the ability to think.

  • Now I don't want any veg to comment on this post. Just ignore it veg. I only welcome posts from life forms with brains and the ability to think. So that excludes all the veg community.

    So what about this theory based on the folllowing facts.....

    (1) Either the customers will not allow the company to release details of the contracts they have signed or there is another reason for the news blackout.

    (2) Some investors bought close to 1.5m shares on November 24th driving the share price to $1.23

    (3) The CEO let two senior executives go earlier in the year - Schmidt and Rawlings. The CEO was very complimentary about Rawlings skills just a few months earlier. So why let them both go when he could see the new contracts with Verizon and the two other tier 1 carriers looking likely to proceed to contract signature?

    (4) The CEO is close to retirement and I recall in an article he said he would like to retire in 2015.

    (5) The CEO has managed this business for over 30 years. What is his exit plan?

    So what possible scenario would pull all these facts together?

    So my theory is the board are selling the company. They have identified a buyer and are drawing up detailed contracts for the sale of the business. This scenario is fully consistent with the facts above.

    (1) It explains the news black out. The purchase price may have an element based on the current share price. So the new buyers would be motivated not to anything which may result in the share price increasing.

    (2) The buyers acquired a large number of shares on the open market. To get control of the company, this means they need to pay less for the remaining share capital.

    (3) Knowing the company was going to be sold, Schmidt and Rawlings were nolonger required.

    (4) The CEO will sell all his shares to the new buyers, thus recognising all the cash he needs for his retirement very quickly.

    Let us not mock the afflicted. If it is not obvious, buster the mutant beetroot is very dim. Can't keep a consistent theme going because it is so dense. It doesn't have a clue how the delisting process works. That is clear from the drivel it posts. It doesn't understand why they raised the cash in the PIPE. This veg understands nothing. My next post will contain yet another scenario which I welcome all the non veg commuity to comment on. So that would be you and one or two others.
