    Biopharmaceutical company Opko Health has acquired Israeli smart inhaler company Inspiro Medical for a sum in “the low eight figures”, according to Opko’s Director of Strategic Investment Les Funtleyder. The company will be using Inspiro’s Inspiromatic technology to develop an app-connected inhaler that will be bundled with a forthcoming new drug for asthma, COPD, and cystic fibrosis.

    “We are pleased to add this next generation inhaler to Opko’s growing product portfolio,” Dr. Phillip Frost, Opko’s CEO and Chairman, said in a statement. “We expect this innovative device to play a valuable role in the improvement of therapy for asthma, chronic obstructive pulmonary disease, cystic fibrosis and other respiratory diseases. We plan to use the Inspiromatic device to test the inhaled form of Opko’s new sulfated disaccharide drug against these disorders. … Of course, we believe that Inspiromatic can improve outcomes of treatment with other drugs, those presently available in more ‘standard’ type inhalers, as well as new inhalation drugs being developed. This acquisition fits our strategy of developing new products that address large markets in need of more effective therapeutic solutions.”

    The inhaler has features that make it easier to use including an active powder de-agglomerator to ease inhalation and a microcontroller that better times the delivery of inhaled drugs. A connected app could be used to give near realtime feedback and instruction on proper use of the inhaler as well as to access data from sensors contained in the inhaler and to send that data to physicians, caretakers, or parents. The inhaler performed better than the gold standard in a small trial last year, according to the company.

    What is strange is that since the news today around mid day it popped up slightly then volume went down tremendously and that stock is doing nothing. Weird that the volume would slide soooo much.

    If I read correctly, TEVA should be investing another $7.5M into BZNE soon. Look at paragraph 2 and tell me what you think. It looks like they only have $300K left of the original invest , then comes more $$$.

    Agreements with Teva Pharmaceuticals
    On September 13, 2011, the Company signed a Share Purchase Agreement with Teva Pharmaceuticals Industries Limited (“Teva”). Under the terms of this agreement, Teva agreed to purchase, in an initial closing, 687,442 shares of the Company’s common stock for $7.5 million and, concurrent with the purchase of the common stock, also obtained options to purchase an additional $37.5 million of the Company’s common stock according to a predefined valuation schedule and predefined percentages of the Company’s outstanding common stock and preferred stock on an as-converted basis. As of December 31, 2013, Teva had not exercised any options to purchase additional common stock and the only remaining option is for an additional $7.5 million of common stock. The other options under the agreement had expired as of December 31, 2013 due to the passage of time and are no longer exercisable.

    Contemporaneous with the signing of the Share Purchase Agreement, the Company also signed a Research and Collaboration Agreement, and an Exclusive License Option Agreement. Under the terms of the Research and Collaboration agreement, the Company is to carry out a research and development program (“R&D Program”) under the direction of a Joint Research Committee with members from the Company and Teva. The goal of the R&D Program is to develop novel therapeutics for Hepatitis C that target the viral polymerase enzyme involved in replication of the virus. To maintain its license option, Teva must invest an additional $7.5 million as described above prior to the Company spending all of the funds originally received in the September 2011 $7.5 million investment. As of December 31, 2013, the Company had expended approximately $7.2 million of these fund

    So you are saying that they are sandbagging for Q4 and they really have a huge profit?? And that the $2.2M ish numbers that they are saying for 2014 is already in the bag for Q1?? I would think that the lack of trust cuts both ways doesn't it? Brad has to go. If that happens we go up greatly and near where we should be today and that is $15.

    We are down for several reasons. SEC investigation. Good news is , the company does not see anything material which is holding up the uplift probably. Also, although the shareholder letter from Brad was great the margins are really not expanding all that much. I think it was 33% or so. They need to get this up to at least 40%. They are sandbagging. We also have very low float with not many buyers or sellers. When buyers step in it will rebound very rapidly. If you are not in you will be chasing.
