    Pernix Therapeutics Signs Agreement to Acquire TREXIMET Tablets for Migraine From GSK; co will make an upfront payment to GSK of $250 mln (4.28 )
    Co announced that it has signed an agreement with GlaxoSmithKline (GSK) to acquire the U.S rights to Treximet (sumatriptan / naproxen sodium) for the acute treatment of migraine attacks with or without aura in adults. Pernix's team of approximately 90 specialty sales professionals will support the sales and marketing of Treximet.

    Transaction Benefits

    Adds immediate revenues and earnings, FY2013 Treximet net sales $78.7 million; Expected to nearly double Pernix revenues and provide EBITDA margins in excess of 30% on a FY2014 pro forma basis; Pernix estimates pro forma FY2015 total company revenues will exceed $230 million with an EBITDA margin of over 40%.

    Transaction Details

    Pernix will make an upfront payment to GSK of $250 million for the U.S rights to Treximet; GSK will assign to Pernix the Product Development and Commercialization Agreement ("PDC Agreement") between GSK and POZEN, Inc. (POZN); POZEN and Pernix will amend the PDC Agreement to facilitate further development of Treximet; The Company will purchase existing inventory from GSK and GSK will continue to manufacture Treximet in the near future under a long-term Supply Agreement with Pernix; The Company expects the transaction to close and to transfer Treximet no later than August 1, 2014; The Company will continue to make royalty payments on net sales of the product; The transaction will be financed through a combination of cash, debt and equity-linked or other securities.

    Stifel upgrades BBG to Buy from Hold and sets target price at $30. BBG has underperformed the last two quarters on production delivery issues. This 12% relative underperformance versus the EPX has occurred while the underlying Niobrara assets are being better defined and firmed up. At current price levels, they estimate that BBG shares are giving no value to the Chalk Bluffs, where the Codell is currently being tested, and giving no value for the NE Wattenberg Northern Block acreage, where extended reach laterals are being tested, which could improve the area's economics. We estimate that these two areas alone could add $11.50/share of unrisked value with the potential for $3-$6/share to flow in the coming six months.

    FBR Capital notes that after the market close on April 17, SLM released roadshow presentation materials for both Sallie Mae (SLMVV) and Navient (NAVIV) containing detailed financial projections, profitability metrics and business opportunities. The financial projections for Sallie Mae are slightly stronger than they expected with a long-term earnings growth rate of 20%+ vs. their forecast of mid-to-high-teens growth, while Navient's financial projections appear to be generally in line with investor expectations. Sallie Mae is expected to be high performing - generating strong asset growth (15-17.5% asset growth), attractive ROE (15%+) and strong earnings growth (long-term earnings growth 20%+), while mgmt expects Navient to generate an attractive ROE, potentially allowing for the substantial return of capital to shareholders.

    Here's the rub. Unlike a lot of the stocks that have sold off because they are just a multiple of sales, not earnings, Facebook is actually an inexpensive stock. I don't know what's going to happen tomorrow with the stock. I do know that companies with tons of opportunities and great growth do reward their shareholders. I think this is an opportunity, not a disappointment.

    I feel the same way about American Airlines Group (AAL). This $27 billion company, which has $10 billion in cash, reported magnificent sales and earnings this morning. I can't believe how much money it made. It seemed like an aberration. And you know what? It was. It was aberrantly low because of all of the cancelled flights. Who knows what it can earn now that the skies are friendly. But it had the misfortune to report on the same day at United Continental (UAL) and that was the one airline, the only airline, that truly has delivered a nightmare number. It obliterated the glory of American. If the company had reported yesterday, it probably would be through $40 instead of being "stuck" at $38.
