    Foot, just did some calculation and I come up with market cap $483 @$17 EV= net cash in Bermuda $91 million and 58% of the balance of net cash$90 million total $191 million. EV=$292 million divided by TTM EBITDA $214 million X58%=$124 million. Current EV/EBITDA=2.35x. @5X EV/EBITDA=$28.45 and @8X =$41.50. IMOS income and balance sheet are consolidated so you must pull out the 58% owned by IMOS only. Hope that helps

  • The whole semi industry is getting hammered. ASX down 9% today SPIL down 6% today and Chipbond down 30% just since July 1st.

    I would say management is also getting barraged with emails about taking advantage of this sell off. I would say at this point they are looking for other opinions and hopefully we get some kind of action out of the company to enhance our shareholder value. We are all totally frustrated with what is going on but I am sure IMOS is too. Lets give them the benefit of doubt that they are trying to take advantage of this sell off. SJ has 450K shares and is not blind to his paper loss over the last couple of weeks. Nothing wrong with keeping the pressure on with emails but also try and keep it level headed.

    I believe management will be looking for another opinion about the buy back. As many have said no reason to have to wait 30 days. If it was up to me I would also do an additional accelerated $25 million buy back at these prices.

    All the money is paid from 8150 dividends that have been transferred to IMOS in Bermuda. You could check 8150 to see that they paid NT$2.22 on June 22nd. IMOS owns 522 million shares of 8150. IMOS received about $30 million after withholding about $10 million for income taxes. IMOS is using $4 million to pay the 14 cent dividend and $25 million for the buy back.

    Turt, you make some valid points. As a small cap company IMOS is exposed to the Semi industry as a hold which has been in a huge downturn. IMOS is off 14% this year and if it was not for some on the catalysts you mentioned things could be a lot worse. Just look at INTC, MU and others. IMOS stock price can move very fast as we have seen. As of 2 days ago when the price went over $23 we were back to even YTD but that was short lived as some stockholders are tired of waiting. We could see that with Dave Johnboy and other long term investors.
    I should start a new thread but here goes my valuation take. Even with 8150 trading at NT$38( should be NT$51 to be equivalent to Chipbond) and a 20-25% massive buy back of 8150 shares from IMOS holders all of the metrics should move up the same amount.. Given that assuming a 20% premium on the cash portion or $10.75 in cash(40%). The NT$38 moves to NT$47.50 and will be allocated about 11 shares(60%) of 8150 per IMOS share or another $16.85 plus $2.50 in cash sitting in Bermuda. Total package worth $30.10 at today's lowly 8150 pricing. I have spoken to many large investors and 2 reason why 8150 is trading so low is very few shares in the float(little liquidity and remember our 522 million shares don't trade yet). The second is still the dual corporate structure and uncertainty of what premium the 8150 shareholders will pay the IMOS holders. They all agree when we are 1 entity all of the issues will be gone and we should move up closer to our peer valuations.
    My take is when we factor in all the positives that Turt mentioned and move to 1 entity the package will be worth well north of US$36-39.If we get some positive semi news this should be achievable within the next 6-9 months IMO.

    Bam, no chance that will be the case. The whole reason for the Taiwan listing was to merge into one entity and trade as ADR's here in the states. That is just legal cover your #$%$ lingo.

    Turt I agree. They will use 8150 to compare for valuations and then give us some premium for the massive 8150 buy back from IMOS shareholders in cash. I also can't see this taking more then 2 months based on the fact that they have audited statements on both companies and the only work to be done is how much of a premium they need to pay.

    Buy, IMOS has about $91 million in Bermuda and they own 58% of the $153 million in net cash at 8150 or total of $180 million is my best estimate.

    Sean, not sure but a dividend has always been announced on the August CC and paid in October. Not saying they can't alter that date and pay it now. I believe management will either pay us our large dividend or a very large buyback and possibly both.

    Dback, iMOS shareholders own 100% of imos so don't confuse that with our 58% ownership of 8150. It would be very hard to pas any vote about the merger with our total ownership of Imos. The iMOS shareholders still controll the 8150 vote but I feel much better about our total vote% of IMOS.

    Dback, SPIL owns 15.8% of 8150 which is separate from the 58% owned by U.S. Shareholders. And no marnis and I didn't start any rumors about the share collapse.
    Sean I am not sure about the employee ownership of 8150 except the total owned by all including SJ is under 4O million shares that except for 6 million shares were bought at around nt$25.SJ I believe still owns over 300000 shares and has plenty of options with an average strike price around $12
