    So theoretically if a good mediator gets involved, explains to both sides that if they should lose on appeal there would be huge downside for the loser. Better to settle which could be even before the end of 2015 and get this over with? In that scenario what in your opinion would be a reasonable settlement---fair to both sides?

    Also, I think there will be a lot of doubling up on positions this month (November) with
    substantial investors with losses planning to sell in December after the 31 day wash sale rule---
    Should be a good month from a trading standpoint IMHO

    The "Presentations and Events" section from "Investor Relations on the company's
    website contains some important information supplementing the company's third
    quarter earnings release:

    Summary Version Growth Strategy


    In the past this has been a poorly managed company
    There seems to be a perception that Management and the Board is not shareholder friendly
    We are in early stages of turnaround
    Himesh is saying the right things and hopefully excellent execution will follow---
    Growth strategy appears credible--
    Scott Murphy (new Director) very positive development

    I feel that further cost cuts in R&D and G&A should be implemented to the tune of $10,000,000
    Consideration should be given to a one time Restructuring (non-cash outflow) expense
    charge this year--2014 which would clear the decks and enhance EPS in 2015 and beyond

    R&D running at approximately 28% of Revenues (too much IMHO)

    Stock compensation is overly generous--new option shares in any year should not
    exceed 2% IMHO-

    Company should announce a stock buyback program of $20,000,000 to be carried out
    over the next four years---this would offset most or all of the "latent" stock that is
    currently not in the money but nevertheless will be impacting EPS in future years
    At current prices this would seem to be a good idea and shares outstanding (including
    not in the money option shares over the next few years could shrink to 22,000,000+/-
    This would be perceived as a shareholder friendly action.

    Board of Directors should focus on finding strategic buyer for our company in 2016.
    At a seemingly low 1X Revenues and with reduced shares outstanding and solid
    profitably in 2015 and 2016, we could be thinking of a $4.50+ target objective 18 months
    from now--an annualized rate of return of approximately 79% from current $1.80 level.

    IMHO a growing realization that this stock is selling for approximately 80% of
    Book Value---possibility of dividends next year, and recognition that one year
    from now institutional investors will be discounting 2016 EPS----which could
    be $2.00+
    Although plenty of risks (see SEC filings) IMHO stock could be $20+ one
    year from now---a return of close to 16%--

    I would also---
    Near term IMHO a lot of stock will "come out of the woodwork"
    at $2.00---Could grind its way through this, and end the year
    over $2.00---Next year management runs a tight ship and
    stock reaches $3.00+ by this time next year---approximate
    56% return from current level--Still, plenty of risks---

    Yes Definitely---You can take that to the Bank! (Just Kidding) Seriously, results came
    in better that I expected, and think that the stock could show some strength tomorrow
    The new director is definitely a positive IMHO ---
    Still would be in favor of the newly reconstituted Board to explore possibility of
    some company acquiring us at a price significantly higher than currently--

    Your suggested price target of $3.50 would work for me--

    Risks are still considerable--IMHO for this to work really well, Management needs
    to somehow wring out another $8-$10 million of operating costs over the next year---
    difficult,and the whole Synacor team, including the Board and Senior Management would have
    to make sacrifices---Would result in a "lean mean machine" generating
    considerable cash and EPS of $.30+/- in 2016---
    A year from now stock could as a stand alone company be approaching your
    $3.50 price target---perhaps somewhat higher depending on execution of strategy..

    Yes---you are not buying a stock--you are buying a NUMBER on a computer screen--
    Sometimes the number is higher, sometimes lower in the course of the day--usually
    depending on what the overall market is doing--
    It took me a long time to figure this out---(Better late than never)---
