This is just a layperson's opinion, but if YHOO wants to speed things up, all they really need to do is make SpinCo. a viable business. This way the IRS will give them a thumbs-up.
Is SpinCo. the official name of the new company, if so, the YHOO officer who thought of the name should be fired. That's like daring the IRS to change their tax provisions.
I have to admit WS doesn't take MM seriously. If it was Bezo who said everything is going fine, YHOO would have seriously popped.

Look at Bloomberg article on front page of YHOO headlines. Jason Factor at heavyweight tax firm Cleary, Gottlieb says that there could definitely be a delay. Although, I'm not a tax attorney, common sense would tell you that there would be a delay. Why would MM say no delay recently if there was no possibility of delay.

Unfortunately, the IRS can make some tax laws retroactive. So, MM better get moving and complete the details of spin-off done as soon as possible.
