    Big Block

No question we had an aggressive buyer today. JPM is often synonymous with M&A. Wonder who they were buying for? I have been asked before but for the record, EVC is the most screaming buy in the entire sector. I expect a tender offer or buy out announcement next 30-60 days. Someone can steal this company on the cheap right now and get 100% of their money back just selling 20-50% of the spectrum. I see an offer of $8-10 very soon. DaninFW

EVC went down to $6.28 again after this 35,000 share trade at $6.32 but appears to be short covering or buying:

The $3 billion I am sure is for current auction. Again, it's really a positive for the 2016 auction to be even later as they need to replenish cash. DaninFW

    Short Interest Squeeze Coming

Not big on Zack's but upgrade can't hurt. I think the catalyst will be a highly respected firm or individual that reports what they think EVC's spectrum is worth. It could also just be the entire sector is upgraded because every single company has spectrum options to raise hundreds of millions if not billions........just free money. Even the CEO who said months ago that CBS would not sell spectrum.....said a few weeks ago that they might sell some stations at $200-$400 million each. Smart and patient investors can wait and I also think M&A might be a catalyst. DaninFW

  • Short interest came out today. WOW, EVC went from 1,907,366 shares short on 12-15-14 to 3,311,911 shares short on 12-31-14. That's the most in over a year. I can't go back further but has to be a record for multi-years. Looks like shorts continued to hammer till 1-08-14 and then good news came out 1-09-15. We have had only 2-3 days trading with very low volume since reversal. I suspect we have about 3.5 to 4.0 million shares short waiting to cover. Any catalyst could rocket EVC. DaninFW

    LPTV's

You can google it but I think it's 99% certain unless FCC caves in. However, they would also have to start over if they caved in. Greenhill would have to start from base 1. They are merely waiting to see what comes out of the public comments due yesterday and what the FCC does. Even they believe ultimately all their different lawsuits would be merged by the courts into just one suit. The courts are hearing in a week or so the case brought in August by NAB. That's 5 months and this is just initial presentations. I think it safe to say no auctions till at least late 2016. This brings us closer to political issues and possibly a whole new ball game. There are no certainties in life especially when you are talking billions of dollars up for grabs. Lawyers live for this stuff. DaninFW

NXST also just finished another acquisition a few days ago. GTN and NXST are the most rumored takeover targets. I suspect EVC has moved up the rankings because of low price and spectrum value. EVC is small potatoes stock market wise, revenue wise, etc. They only do $9 million+/- political a year. GTN expects to do around $140 million political in 2016. The funny thing is EVC could be worth $4-5 billion. The current enterprise value for EVC is just $868 million. NXST is $2.47 billion, GTN is $1.83 billion and SBGI is $6.15 billion. However, based on current metrics of EVC and spectrum value.........the real value for EVC may be 2X current EV of NXST, 3X EV of GTN and almost the same as SBGI. Someone smarter than me will figure this out soon. DaninFW

Yesterday, the group representing 1,000 LPTV stations and 80 owners threatened to file lawsuits, staggered at that, to challenge the upcoming auction. If they file it will push the auction at least 6+ months out again. We would be looking late 2016 or early 2017. They appear to be waiting to file for as long as they can to either get concessions or delay as long as possible. They want $1-2 billion to cover their relo expense when channels are reassigned. They also want a cut of the proceeds from which they are currently excluded. The FCC can't win in this IMVHO. If they change the rules and reimburse them for their expenses and even throw a few billion of the proceeds they will only challenge to get more IMVHO. It's an issue of interpretation of the statute that Congress passed. The FCC says they have interpreted it correctly. This is no surprise and another reason that this sector and EVC will be volatile. I also believe the longer the auction is postponed the more the spectrum will bring. We will soon see M&A based on spectrum values. DaninFW

I would add that in the last conference call, management addressed infrastructure projects. I would have to listen again but as memory serves it was only 10-15% of their business even if that much. They said it was low margin and they went after other things. DaninFW

One thing I had not really picked up on, but USCR is now the only pure concrete play for a U.S. stock and they keep growing. No question IMVHO that they will be ultimately acquired. Too many synergies. I actually added to my position in the low 5's a few weeks back. I think the new $39 price target will end up low in 12 months. Short interest also dropped about 15% yesterday. Shorts are covering. We should see $32-34 easily after next report. DaninFW

We did get one debt upgrade a few months back. I can't remember if outlook is stable or positive but both are good. All we need at present is another big buyer to step in. Looks like sellers may be done again for now. Short interest Monday will be interesting. A big buyer or positive catalyst will pop this stock 50 cents in 1-2 days. Sector was strong as well Friday in a weak market. M&A will be coming soon as well. I would not be surprised to see $7 by end of coming week. DaninFW

  • I expect after the current auction winds down and specific numbers are out, we should see the guru's crunching the numbers again. I expect for entire sector to pop. Ryvicker last time projected SBGI's spectrum worth 52% of their enterprise value. It's got to be 100-200% now. If EVC gets mentioned at 500%+/- we are off to the races. The analysts may also wait till after the January court hearings. FCC confirmed yesterday that auction was on schedule. DaninFW

Can't say without seeing report. If based on spectrum it should be increased IMVHO. If based on buy out alone and synergies of merger then it should be increased because of spectrum. Good news is PT is going up. DaninFW
