    Debtor-in-Possession Loan and Security Agreement, to be entered into upon the entry of the interim order approving it (the "DIP Financing Agreement"), between the Company and the Buyer. The DIP Financing Agreement provides for senior secured super-priority debtor-in-possession financing facilities (the "DIP Financing") in an aggregate amount of up to $2,500,000. The DIP Financing will become available upon the satisfaction of customary conditions precedent thereto, including the entry of an order of the Bankruptcy Court approving the DIP Financing on an interim basis.

    The proceeds of the DIP Financing will be used by the Company for (i) ongoing debtor-in-possession working capital purposes as approved in a budget acceptable to Buyer (the "Budget"), (ii) the payment of fees and expenses in connection with the transactions related thereto and (iii) general corporate purposes as approved in the Budget.

    US fabless semiconductor company EnVerv and Chinese metering giant Holley Metering have teamed up to develop a range of advanced metering infrastructure (AMI) products for Thailand, the latest in a number of agreements between the tech company and meter makers.
    Holley’s single phase and three phase smart meters, covering applications for residential, commercial and industrial use, will use EnVerv’s EV8000 power-line communications (PLC) modem as the communication platform.

    US smart grid company Ambient has collaborated with semi-conductor manufacturer EnVerv to produce a smart meter communications module using powerline communications technology (PLC) to connect new or existing meters.
    The module supports CENELEC, FCC and ARIB powerline bands and uses existing low-voltage grid to help minimise infrastructure and operational costs.
    President and chief executive officer of Ambient John J. Joyce commented on the collaboration with EnVerv: “We have chosen EnVerv’s EV8000 Series technology because it supports multiple PLC standards and enables efficient and effective communications for a range of utility applications, including advanced metering infrastructure, in-building communications, and active energy management solutions.”
    Michael Raam, president and chief executive office of EnVerv, said: “We are excited to be working together with Ambient on our EV8000 series of products, which offer the flexibility and scalability for developers to design data concentrators that comply with any PLC standard, and meet the performance, cost, and connectivity requirements for Active Energy Management.”
