  • Give Ambient $7.5 million in cash. That's around .45 per share.

While entering a stalking horse offer, the debtor can offer bidding protections such as breakup fees to its best bidder before the auction. These incentives enhance the value of the offering for the bidder which might lead to a better price offer before the auction begins. This higher offer is now the starting offer for the auction and may result in benefiting the debtor and its estate.

    Example

On October 22, 2007, technology company SCO asked a bankruptcy court to approve a deal whereby a purchaser would acquire "substantially all assets used by the Company in connection with its SCO UNIX Business and certain related claims in litigation." [3] The agreement included a "stalking horse" provision: If the purchaser, York Capital Management, were to be designated as a stalking horse in subsequent bidding for SCO's assets, and if others outbid York, then SCO would have to pay York a $780,000 breakup fee and reimbursement of all expenses incurred by York up to $300,000. In this way, York would earn its expenses and $780,000 by acting as the stalking horse and preventing other bidders from making lowball offers.[4]

" Its Tropos subsidiary now gives it wide-area capability, but ABB does not have a full line to compete with the likes of Cisco and Silver Spring Networks. Given the specialized and rigorous requirements of communications and network management, I think ABB may be wise to work with partners for many of its communications-centric solutions. "

The combined DistribuSense and AmbientPQM solution facilitates grid management through real-time monitoring, and measurement of an extensive and configurable array of power quality parameters, to increase efficiency through Volt/VAR optimization (VVO), and reliability through fault detection, isolation and restoration (FDIR).

The standard, high-quality current/voltage output signals from the ABB sensor are read by AmbientPQM and processed for local decision-making, or directed to the appropriate head-end system through standard protocols.

The combined solution offers utilities flexibility in the choice of backhaul communication technology, and local control of data at the sensor. Utilities benefit from a high-performance end-to-end solution that enhances distribution reliability and efficiency by decreasing energy costs, protecting revenue, avoiding costly regulatory penalties, and boosting customer satisfaction.

Ambient's robust IP-based communications capabilities allow utilities deploying DistribuSense sensors flexibility in choosing how and when data is returned to the utility, and over which preferred public or private network the data is communicated.
