    First, SPV's (special pupose vehicles, i.e. project specific companies) never have a history. They are created for the purpose of pursuing a very specific business opportunity. "LOL", ha ha, yech. Second, I don't see any repackaging at all. The founders of Grenada must have demonstrated that they have the financing lined up or IFNY simply could not have agreed to anything, even a letter of intent.

    Look, it is obvious from your posting history that you will take anything and try desperately to spin it into a negative. You just don't like IFNY, except maybe as day trade vehicle to make a quick buck or two. But, in the long run, what you seem to want to be true, what you represent as being true, and what really is true are very different things.

    We don't know that and neither do you. We have to wait for the deal to be done. And who cares about cash upfront, anyway? All we want is - when the deal is done - to have the $1mil bridge loan paid off and a commitment to pay for the drilling of at least one (hopefully two or three) wells.

    I don't think the SPV's that Enron set up to hide debt are even remotely comparable to a project company that has been set up by individuals.

    A special purpose vehicle is a company formed to pursue a very specific business opportunity, as opposed to a company formed to generally engage in a specific type of business activity.

    bfstoka, I agree with your post for the most part, but IFNY does hold the concession rights and they did do the 3d which have significant value. But I agree that among whatever offers they received, the one they chose has to make the most sense. Stan probably now realizes that he needs to actually prove up the resource before he will see an offer from a major that leaves IFNY with some significant residual interest. So you try to put together a deal for 3- 12 million to allow you to pay off the million you owe and to drill at least one hole.
    I recall that IFNY's concession is in fairly shallow water, so they don't need an expensive deep water rig,

    IMO, the long and the short of it is this: we will very likely see a deal by the first week of December. We will then have detailed info on the terms. If the deal happens by the first week of December, then we will see drilling commence in Q2 of 2015, with results by mid-Q3 at the very latest. So one year from today we should know - finally - whether we have something or not. In any case, if we get the promised deal done, we can expect a nice run up once the drill is in the water (just like the sympathy run-up we had a year ago in anticipation of Noble's results) . So once we know that the deal is done and a well will be drilled, there should at least be a very nice trading opportunity..

    Ever heard of a special purpose vehicle? Obvious to me that the partner was established specifically for the purpose of putting together private capital to funding IFNY's exploration on the concession. Their money will spend just as easily as NOBL's and probably end up costing less than NOBL's in terms of the working interest percentage in the concession.

    Not much to say. Only a letter of intent, although I do like the percentages. Have to wait until the deal closes to really say much. Scheduled to happen by Dec 7, the date that million has to be paid back.

    The short volume on Friday was 78%. The Friday before it was 79%. I know it won't do any good to try to explain to someone of your sophistication the likely meaning of this.

    Interesting find.

    I checked Source Capital's website. They seem to do a lot of secondary common stock offerings and private placements. That is not necessarily a bad thing. We knew we would lose a large portion of our interest in the concession no matter what deal was struck. We were hoping to keep at least 10%, maybe as much as 25%. If - by raising money through a secondary - we are able to keep 95%, then the dilution current holders experience may actually be less than what we would lose by doing a negotiated transaction with a drilling partner. Or maybe we issue a class of preferred stock (which - depending on the terms - might well be better than issuing more common ).

    One thought: It could be that we have a drilling partner, but adequately securing their rights in the concession in Nicaragua might have been problematic. So the partner may need to acquire a direct equity interest in IFNY, and that might mean that IFNY needed the services of an investment banking/transaction adviser.

    Just speculating on what Stan's new connection might mean.

    Don't do a PIPES, Stan, unless you really really really understand the terms. Many of those involve the infamous highly dilutive death spiral.

    You know that there are laws against insider trading, right? Obviously, it has been months since anyone inside IFNY has made any public statement (with the exception of the change of the auditing firm). Therefore, it is an absolute certainty that they have knowledge about developments (good and bad) that we don't have. Therefore, they cannot buy or sell. If they were to buy (and file the required Form 4) and then good news were announced and the stock price rose significantly, all those little computer programs at the SEC would light up. Same with selling and then announcing bad news.

    I see the lack of insider trading as evidence that something is going on.
