Believe Mr Dugan knows a bit more about to running a NNN lease company then any of the posters on here. Capital raise is clearly a part of the business model. If the above pundits had bothered to read the investor update that was included in Q4 results; they would note management indicates what % of the corporate structure will be based on equity and debt. Would not worry about that at all.
Its no big deal, just surprised they eliminated this, there is a cost but its puny. Back in the good old days there was no such thing as a transfer agent, folks got a share cert saying they owned 35 Shares of "Amalgamated Steel and Iron Works"
I remember in 60's my old man had share certs for WR Grace and Fresnius Medical.
Really like seeing this, up 300%
The board of directors of the Company approved and adopted an amendment to the Company's amended and restated bylaws (the "Bylaws"), effective as of March 20, 2015, to eliminate that requirement that the Company provide certificates for its stock if so requested by its stockholders. Specifically, the Bylaws were amended to remove the second sentence of Section 7.01, which read as follows:
"Each stockholder, upon written request to the transfer agent or registrar of the Corporation, shall be entitled to a certificate or certificates which shall represent and certify the number of shares of each class of stock held by him in the Corporation."
I sold 2/3 of holding at a loss, still up overall thanks to pump and dump by cannacord cut_the_cord.
Its starting to remind of tlcvI (pre pink sheets)
in conference call some guy blindsided them with a ? about liquidity, saying at current rate they have 6 quarters left before cash is burnt to 0. Management sounded like a deer in headlights, really no answer.
Now they have created 3 or is it 4 different programs. Are they trying to be transparent, or are they attempting to obfuscate the issue? Bottom line is revenue is growing but at a pace that is decelerating.
No mention of HQ moving from sunny San-Diego to cow town Dallas
No mention of the debt they took on, or that interest rates/payment are approaching userous levels.
why are they trying to bring a new product on line when they cant generate revenue growth with the tear lab.
still have 1000 shares so I guess this dog is a hold.
bwaa haa my bad, based on reduced shares. Any thoughts on how long before the dividend would be bumped up. Management has done so much in a short time, paid off and refinanced preferred, increased credit lines, issued some equity units for property bought, have the at the market equity program, closed on almost 1 billion dollars, started an operation in europe that is fully functional with partners in place.
They have stated numerous times it be conservative while in this growth phase. Maybe 5-6 years from now could expect an annual dividend of $1.20 @ a 3% yields that share price of 40...sounds fine to me...
Upon completion of the reverse stock split, the Company’s previously announced first quarter dividend to be paid on April 15, 2015 will be adjusted to $0.20 per share (reflecting an increase of four times the previously announced first quarter dividend of $0.05 per share to reflect the reserve stock split).
I just finished reviewing the investor presentation and noted the 400 million I Star portfolio is closing on 3/10th.
One poster was questing the tenant credit quality/risk. On page 9 they list the credit ratings for top ten clients, on page 21/22 it lists all of their tenants. I think this is quite transparent/good if one wants to use this type of data in their analysis of GPT
there is no economic change in any split, normal or reverse. Dugan mentioned that the "rounding" of a reported EPS will be smoothed with less shares outstanding, and the spread on bid/ask maybe a bit tighter at $28 then $7.
This should not enter into any consideration as to hold or sell. I think the company and share price will continue to grow, albeit a bit slower then in the past. Management is as good as it gets in this space, I think its a decent price at these levels. 3% dividend maybe 6-8% price growth
Mr Dugan just announced this. They just keep closing on great properties, 10+ years lease suspect it will be a good 2015, slow grind upward on share price. Dont expect big dividend until its mature in 4-5 years.
Seems like a good quarter, reaffirmed 2015 guidance, next year is another one with potentially large acquisitions. I really like the opening of a business office and investment fund in Europe. Berkshire Hathaway just bought some sort of German Motorcycle equipment retailer,
With weak economy/property prices, and a strong dollar now is the time to find properties similar to the ones they have bought in US. Even though Europe is weak their is opportunity in Germany, Netherlands and UK.
The Company also reaffirms its previously announced outlook for 2015 with an expected Core FFO of $0.45 - $0.50 per diluted common share. This assumes contribution from asset management business of approximately $4.4 million net of tax, management, general and administrative expenses of approximately $17.0 million, including non-cash stock compensation expense and 2015 acquisitions having an aggregate gross purchase price (including debt assumed) of $600.0 million - $900.0 million (inclusive of the Company’s previous announcement to acquire 12 assets from Dividend Capital Diversified Property Fund Inc. for approximately $399.0 million).
The market cap has tanked %30 since the IPO and management gets these bonuses and free stock options. A two year old could jump over the targets set in the 2012 incentive plan.
Item 5.02. Departure of Directors or Certain Officers; Election of Directors;
Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
(e) On February 19, 2015, the Compensation Committee (the "Committee") of the Board of Directors of Amber Road, Inc. (the "Company") considered and approved, for the Company's executive officers named below: (1) cash bonuses ("Cash Bonus") for performance during 2014 under its short-term incentive program;
(2) the granting of certain stock options ("Stock Option Grants"); (3) the granting of performance shares in connection with the Company's 2015 long-term incentive program ("2015 LTIP") and (4) the establishment of performance targets in connection with the Company's short-term incentive program for 2015 ("2015 Performance Targets"). Each of the Cash Bonus, Stock Option Grants, 2015 LTIP and 2015 Performance Targets was established pursuant to, and in accordance with, the Company's 2012 Omnibus Incentive Compensation Plan, as amended (the "2012 Plan").
Hold it, they hired 1/2 of alcons management team, hopefully the ones with a brain, that can get some strong revenue growth. via sales and usage. Maybe British NHS will add it to routine eye test protocol.
We needs bums on the seats and a fish in the hand and a chip in every eye!
Whats up with this???
Expenses Related to Contemplated Relocation
In connection with the Company's contemplated relocation of the corporate offices from San Diego, California to Dallas–Fort Worth, Texas, the Board also approved, on February 5, 2015, the reimbursement of certain relocation costs incurred by Seph Jensen up to the amount of $96,000.
Yes its all in place, product, insurance coverage. they need to deliver results. make every stinkin eye doc in america stick a chip in every patients eye ball no matter what they are in for
Chip in eye ball all the time.
Reminds me a bit on when tlcv pink sheets and lcav were trying to get seats on bench for LASIK. They struggled but once inflection point reached they exploded. Well lcav did tlcvi imploded due to massively stupid dutch auction.
Hopefully so. They bought 600 million of sale lease back properties this year, at cap rates 7.5%+ , a very good year.
I think Q4 will be somewhat lumpy because of 1 time charges associated with share offerings, closing costs and when the various deals closed during the quarter. Expect very solid guidance run rate numbers for Q1 2015; a full book will be up and running. Maybe another dividend bump or the purchase sale/leaseback of a Danish Willie Wonker Chocolate Warehouse, or German Technology Park.
It can be anything they want it to be, believe it doesn't matter much right now. Main focus is if they exceed revenue numbers. Management has had almost 1 year to focus on increased usage vs the placement of new devices. They need to report an excellent quarter, no excuses, the stock price will respond. If not, the terms of this offering become important into Q2/3 as cash needed to continue operations will be shrinking, not growing.
Everything is in place to succeed. The device seems to be a viable piece of equipment that can become a standard test as part of routine eye exams, especially so for patients getting lasik/cataracts. The reimbursements from insurance/medicare are in place. International market is untapped. Management needs to DELIVER. With Alcon folks on board, they cant screw up a free lunch, or can they?
