    Why the Captial Raise

I agree. Something is amiss. There was no reason to raise that money unless they were ready to spend it -- and that does not mean having something in mind, it means having something under contract, packaged, and ready to bring home. Moreover, they practically told us they had lined up a U.S. acquisition. But, setbacks do occur and usually they just amount to costly delays. The deal usually gets done because both parties are working toward that goal.

At least, let's hope that is the situation. I am not in favor of an acquisition, but I would prefer that to the deal falling apart midstream.

To state the obvious, this has been a bad quarter -- weak earnings, organizational shifts, few contracts announced, and money raised weeks ago and now mysteriously sitting unutilized, all at a time when we looked poised for success. Some of you can put a positive spin on anything, but the overall judgment of the market is down over 25%.

More positioning, but the bottom line is $0.01 per share. The PPS will take a hit..

That may be the point of the litigation. Even if Mitek loses the case, they have won.

Good point. The last year has been great where it counts the most, and somebody (or well timed census work) did a good job to keep the company alive during the downturn. I like management, they are quick on their feet. And I am up about 25%. My problem is that I go back almost 10 years and have been hopeful for too long.

    Earnings

Orders never move this stock because they are routine. Although some hardworking people are scrambling to make that happen, they just show TISA is still breathing. TISA has done well to maintain its position in a changing market. In addition, it has established footholds in mobile banking and the American market. But, TISA always seems to be poised for bigger things. The footholds remain footholds. Quarters and years pass.

Sorry if I sound grumpy. I am tired of this long winter and following TISA is a lot like waiting for spring.

    I wonder

Perhaps scanning your phone bill each month will be a short technological step with the next step being to simply say, "Siri, please pay my phone bill." Just as Facebook quickly eclipsed My Space, so too, perhaps bill scanning will soon be replaced by oral commands.

When Atari is the new thing on the market, it is hard to imagine the tidal wave of new products soon to come. But, of course, it may be TISA that develops the next generation of products.

if paying your bills by scanning them with your smartphone is just My Space, a flash quickly eclipsed by a brighter light. I heard an ad this morning for a service where you simply tell your phone to pay a particular bill.

I have low expectations. The conference call will verify that they continue to position themselves for big things, but they are not there yet. Of course, I am a naysayer about the effects of this secondary offering/acquisition over the next year too. So is the market. More positioning, less earnings per share.

I love this company and truly believe they have put themselves in the right position, that they are their now. Businesses and consumers need their products. I am surprised one of the big boys has not scooped them up. But, revenue and earnings have languished over the years, even though expectations for the future have remained high.

    Tremendous Buying Opportunity

Good thought, but I am doubtful TISA could skirt the MITK issue by acquiring a company that is MITK compliant. I doubt MITK would have an open-ended licensing agreement that allowed the licensee to authorize others to use MITK products.

Clearly, they are on the verge of an acquisition. They have been telegraphing that for months, and now it is imminent. But, will 2 be better than 1 and 1? Why is expansion through acquisition better than growth from within? Suddenly they will be saddled with two of everything, some new products, some new relationships, and some things they do not want or need. Yes there should be a bump in earnings, but is there any reason to expect a bump in earnings per share? Certainly, not in the short run. All this restructuring will be costly and inefficient. There is a bumpy road ahead. That is why the PPS is down. Let's keep our fingers crossed.

I agree with the person who said, "I do not like this one bit." And I agree with the person who pointed out that the acquisitions five or six years ago were a "total failure." I think growth from within is more efficient than merging multiple enterprises.

The MITK suit muddies the water for TISA to be acquired, except perhaps by MITK. Still, I think the gateway nature of TISA's technology and product line make it a likely acquisition target. I have no expertise and am just posting to avoid working on my taxes, but that's is my opinion.

"Exposure to 65% of the mobile-payment market will undoubtedly contribute, over the course of a few years, to revenue of proportions that Top Image has not yet seen."

I agree. This suit with MITK might turn into a positive thing when the parties consider the various ways it could be resolved.
