    For years and years, the crony-filled Board of derelict Directors asked no hard questions, made no challenges to the over-lords dominating the Board, namely, Chairman Holliday, followed by his pampered protege, "Chair" Kullman. Now DuPont's quivering Senior Management is running scared and scarred, deathly afraid of the exposure of their blatant failures, and muddled accounting, and the extraordinarily hazardous work environment at dozens of their run-down plants and laboratories daily entrapping thousands of hapless regular DuPonters.

    The DuPont of the 21st century is a monument to gross mismanagement.

  • Ms. Kullman's Out of Control Emotional Hostility Against DD Owner, Nelson Peltz

    Good Morning, Bonjour, Guten Tag, Buon Giorno,

    We just re-read the Shareholder Letter, and can hardly believe the unprofessional and abusive smearing of Nelson Peltz and his Trian Fund by Ms. Kullman and her truculent team.

    Moreover, the letter is chock full of dissimulation and deceptions. For example Ms. Kullman refers to "our [DuPont's] leadership position in Agriculture & Nutrition". That's a phony claim if there ever is one.

    First, in seeds, the lagging DuPont is an also-ran behind superior-managed Monsanto which holds the "leadership" position in the production and innovation of seeds around the globe. Furthermore, DuPont's bumbling Management has been forced to shell out hundreds of $millions each year in license fees to Monsanto in order to put Monsanto's superior patented GM seed traits into DuPont Pioneer's otherwise inferior conventional seed line-up.

    Second, in crop protection/ag chemicals DuPont plays sixth fiddle behind the true world leader, Syngenta, and behind Bayer, BASF, Dow Chemical and Monsanto.

    Third, DuPont cannot hold a candle to Scotts MIRACLE-GRO in retail lawn and garden products.

    Fourth, it is not DuPont which holds the global leadership position in food additives and enzymes. Novozmes is larger and better run.

    Investors, the PR campaign commanded by DuPont Management and their PR con artists is intensifying. View everything from Fortress Wilmington under siege with extreme scrutiny, if not disbelief!

    Folks, this uneducated simpleton shilling for DuPont Management doesn't even know E. I. du Pont de Nemours and Company was not a publicly-owned corporation paying quarterly dividends until the 20th century, much less for "over 200 years". Can't DuPont Management deploy some intelligent, educated shills for a change, some non-notthatblinds"? Or maybe they are saving money by outsourcing their PR damage control and vicious campaign attacking Nelson Peltz to third party contractors abroad, where english is a second language and low I.Q. types are willing to work for 75 cents an hour.

  • As for "a track record of delivering superior value", have any of these DuPont Directors gotten off their relax-fit rumps and peered outside the deep dark paneled Boardroom and seen the debris:

    A dismembered and demoralised DuPont Company falling apart at the seams, with shrinking prospects and shrinking revenues in the face of intensely focussed competition, such as superior-managed BASF, 3M Corp, Monsanto, Bayer, Syngenta, Novozymes, undsoweiter?

    Beijing-Style Bombast in Shareholder Letter Defies Commercial Reality!

    Good Afternoon, Bonsoir, Guten Abend, Buenas Noches,

    Readers, Ellen J. Kullman, the now much beleaguered boss of DuPont is desperately using every opportunity to promote herself and her failing comrades on the ninth floor of the dreary, pigeon-stained DuPont Building. Today, March 23, 2015 in a cosmeticised communication to DD shareholders, Ms. Kullman tries to pump up the Board of Directors she imperiously "Chairs":

    [In BIG BOLD PRINT] "Your Board is a powerful advocate for investors with a proven track record of delivering superior value…"

    If that is not Beijing-style propaganda, fellow investors, we don't know what is!

    For the last 15 years, DuPont's derelict and insouciant Directors have overseen a dramatic decline in what used to the be the most powerful, largest, and most innovative chemical and materials concern on the globe for practically all of the 20th century. In return for an unquestionably poor performance, the cozy and crony Directors of the DuPont Board have richly rewarded the ruling duo of Chad O. Holliday, Jr., erstwhile Chairman & CEO, and his pampered protege and successor, Ellen J. Kullman, huge personal fortunes. No probing questions apparently asked.

    Like a number of malmanaged institutions such as Bank of America, the DuPont Company suffers from corrupt corporate governance with the conflicted arrangement wherein the CEO reports to herself as Chair of the very Board of Directors she dominates, and which assesses her performance and obediently rubber-stamps her commands. That intractable conflict of interest redounds to the detriment of DD shareholders in an irredeemably destructive way.

    Readers, the Puppet Press of DuPont Management, the Delaware NEWS JOURNAL is out this morning with a feature article, "A Look at DuPont If Peltz Gets His Way", by Jeff Mordock, 03-22-15. The implication, of course, is this outside investor from New York City, Nelson Peltz, is upsetting a corporate way of life, which should remain in full control of the inbred and inept in Fortress Wilmington.

    With a consummate siege mentality, DuPont Chieftess, Ellen J. Kullman, and her mediocre minions are fiercely fighting off Peltz with all manner of increasingly strident ad hominem assaults and non sequiturs. For example, in the article, DuPont Management defends the Company's unwieldy and suppressive bureaucratic structure and brags,

    "[DuPont's] conglomerate structure has driven innovation because different units share research and development ideas. The company launched 1,600 new products and filed more than 1,650 U.S. patents in 2014, according to regulatory filings." DuPont Management is laughably trying to equate the hum-drum business of filing patent applications with "Innovation". But can you think of a single high-volume, high-profit new blockbuster product or breakthrough technology coming out of the once world renown, now degraded and demoralised laboratories of DuPont in the past three years? Imprelis, Don't Tell Us!

    As for those touted "1600 new products", how many are really superficial changes in old, pre-existing products, and what is the rate of cannabilisation?

    In summary, like practically everything at DuPont these days, such as "Growth", "SAFETY", and "World-Class Science & Technology", "Innovation" is largely PR fiction.

    What is so amusing about notthatbright is she posts the talking points of DuPont Management's PR hacks virtually verbatim. That is a dead giveaway, she is planted on the net to disrupt discussion embarrassing to DuPont executives and launch off-topic personal attacks on investors, not to mention smearing superior-managed Monsanto.

    How do we know? In the highly hierarchical structure of DuPont, no lower-level employee or low-level Manager publicly discloses she or he is a representative or employee or agent of DuPont and then proceeds publicly to publish positions on DuPont Company issues, WITHOUT THE TACIT IF NOT EXPRESS APPROVAL OF DUPONT MANAGEMENT, their superiors in the organisation. That is the way we see it, pure PR damage control. You would think they would be busy enough in the Fortress these days, fighting off that "evil" man from New York City who dares to challenge their two decades of poor performance and malmanagement.

  • DId This Extremely Astute Investor Underestimate the DIrt, the Deviousness, and the Deficiency of DuPont Management?

    Readers, this stock has cratered by six dollars in the past 15 hours of trading, March 16 to 17, 2015 on huge volume. Query, whether or not some of the hedge funds and institutional investors which joined Peltz many months ago, may be having second thoughts and are dumping DD shares with abandon, grabbing gains while they exist? Who kicked over the first domino Monday morning? It was more than Merrill Lynch.

    The fact someone would shell out $80 a share to buy the shares of this grossly over-priced conglomerate which has been run into the ground in the 21st century by a destructive duo of bumbling CEOs astounds us. Did these Pollyannaish investors really know the colossal quantity of costly lawsuits and remediation costs they are buying? The dwindling pool of scientific talent? The rock-bottom morale in this dysfunctional organisation? The dreary half-century old commodity products like unpopular Corian? The obese overhead?

    Readers while not applauding our prescience, we did pen the following in Seeking Alpha on Feb. 12, 2015:

    "Dallas Salazar, you have made a highly readable and compelling case for shorting this grossly over-valued, shrinking conglomerate.

    "It is hard for younger investors to understand for practically all of the 20th century, E. I. du Pont de Nemours and Company was the largest, most innovative, and most prestigious chemicals and materials enterprise on the globe. Notoriously weak Management caused it to crash. By the year 2008, DuPont had plummeted to number 10 amongst global chemical concerns by revenues. Today BASF is three times the size of the diminished DuPont; Dow Chemical, twice the size.

    "As for over-valuation, take the metric of revenues to stock price. At yesterday's close, Feb. 11, 2015, DuPont had a towering market cap of $68 billion. Positing that $7 billion represents the value of their chemical business about to be spun off, Chemours, (one times Chemours' revenues), DuPont's adjusted market cap of $61 billion is more than twice, 2.3 times to be exact, DuPont's annual revenues of $27 billion, ex-Chemours.

    "No doubt, some hedge fund managers holding big stakes in this shrinking conglomerate in turmoil are getting nervous with the stock in the mid-seventies. One or two may begin to liquidate to preserve gains, and kick over the first domino!

    Regular DuPonters, don't forget the dirty PR trick played by the Cull-Men team the other day, namely the article published on March 9, 2015 by DuPont Management's Puppet Press, The NEWS JOURNAL, which dumps blame on Nelson Peltz for the likely wipe-out of retiree healthcare, the modest $2800 max per year which helps thousands of DuPont pensioners on candy shoppe pensions survive.

    Never mind the sneering Empress of Imprelis could have avoided that $1.2 billion in losses on her insidiously toxic, tree-killing Imprelis and used that for building employee morale and decent compensation. Think about how far that $1.2 billion would go towards the $2800 allotment for healthcare after working 30, 35 years for this broken-down chemical and materials and seeds complex.

    In summary, Ms. Kullman is the haggard Hillary of corporate CEOs; its one big LIE after another.
