fdaspy-What were the contingencies allowing conversion by noteholders with exel? Same as ARRY? In our case, I see no advantage to noteholders shorting our stock. Educate me, please.

Dan-I'm curious. Your view of the future assumes no new partnering and/or milestone revenues period. With about 90mm cash starting this q, burn rate of about 20mm per q, a little efficiency pushes that out to a year w/out dilution and I think much longer with the aforementioned monies. So where is the imminent need for cash?

I have smelled something simmering for the past month. Maybe we're getting close. Low volume, gradually deteriorating pps, no news. We'll see; and I think soon.

Not a good argument. Chi govt internal machinations may revolve around many things; but keeping GSI on NYSE instead of Nasdaq isn't one that matters in the least. Look at CAEI (now CCGM) ; a co. with an intl profile for beautiful architecture and landmark bldgs in places like NYC, Quatar, etc.
and worth much more in visibility than GSI and it's one step from oblivion. I should know-took a big loss.

By the way Grazin..I would agree with you my post was somewhat confusing since I am presupposing the increase in outstanding shares will happen; otherwise, why increase the authorization and why now? Since I am now out this will be my final post. As I said, good luck to all.

Grazin....Oh, I see. Increasing the authorized # of shares is just an intellectual exercise by insiders with nothing better to do and means nothing. Gee, how could I have been so dumb? Part of my point was, barring significant new revenue (which is possible), this portends new revenue in the form of partnerships &/or milestone pymts may be farther down the line than I thought. A contributing element to my decision to sell. I don't believe the decision to increase authorized shares was without some rationale. Of course, being a dummy, I've been wrong before. In any case, good luck to you.

Lisa...from my "Notice of Shareholder Meeting" sent to me by my broker and with instructions on how I can vote my shares on-line or in person and listing Bd of Directors recommendations on voting for Bd proposals. #2 proposal states "Approval of an amendment to the Amended and Restated Certificate of Incorporation that will increase the number of authorized shares of common stock from 120,000,000 to 220,000,000 shares." #3 states "Approval of an amendment to the Array Biopharma Inc. Employee Stock Purchase Plan (the "ESPP") to increase the number of shares of common stock reserved for issuance under the ESPP by 600,000 shares, to an aggregate of 4,650,000 shares." The meeting will be held on Oct 24th in Denver. Hope this is helpful to you since I'm assuming you hold shares but have not yet gotten this notice. I can't explain the discrepancy in Yahoo's number of outstanding shares currently and the #'s above.

Yes....from 120mm shares outstanding to 220mm shares outstanding and increase in employee stock purchase plan of 600k shares to an aggregate of 4,650,000 shares. I haven't reviewed the executive comp plan but assume it will include the usual fluff of free shares. This is just my opinion but I believe the primary goal of this mgmt is their welfare; I question whether mgmt has produced any SIGNIFICANT results in product development which would justify diluting existing share value by 50% when, with a tiny burn rate, it appears a secondary offering could be easily delayed until 2014 or later. I would assume the ballooning of shares was run by institutional holders before proceeding and it puzzles me why they would not object strongly. Whatever the rationale, I couldn't stay with such a bleak short-term outlook. Good luck to you.

  • but I'm out. Double the outstanding shares & more freebies for mgmt; just couldn't justify staying. Made money so am better off than some.

lots of trades on fractions which I interpret as likely an institution rebalancing a position or profit taking near end of Q (needing cash). Getting hit on relatively low volume (and no news) for this big of a change in PPS. Opportunity? Just my thoughts.

I should have added this is likely an attempt to strengthen the PIII, NDA submission, and approval process. Let's hope the new member's resumes reflect that sort of background.

with Mssrs Snitman & Koch & Bulloch leaving the Bd, freebie shares (especially for Snitman) may be harder to come by with INDEPENDENT and capable new directors. Let's hope, from a shareholder standpoint, that's what we get.

    Oversold on Arrhythmia

    by losesomewinsome Aug 2, 2012 2:13 PM
    hearex14 hearex14 Aug 3, 2012 3:13 PM Flag

"Losesome"....the facts are (1)No need for mgmt to comment. This drug was not a big factor in future plans because didn't know if active against pain. (2)The compound was ID'd by arry scientists and is active against pain without narcotic addictive side effects. (3)QTc levels fell below existing guidelines re arrhythmia. (4)No matter the outcome of current data, P3 would have been required for NDA submission. The exciting part is this heretofore unknown compound blocked pain receptors without opiate effect. I believe all of the above to be true to the best of my knowledge and imagine the market if our drug replaced use of addictive substances for pain control....$20bn yr?, $50bn yr?, $100 bn yr?, etc. This may be the luckiest "failure" in history.

About a decade ago, I was tracking a bio-pharma co. which was trading around $5 ps. In one day it went to the 80's after announcing a result indicating a possible cure for a major disease. Can you imagine a short who shorted at $5 trying to cover at $60 but unable to cover in $10 increments? It was a hoot! Unfortunately, the next day the co. had to announce their scientists didn't know exactly how they did it. The stock plummeted back to the preannouncement price. My point? Arry is one of the FEW co.'s with such a conservative, meticulous, and competent approach to the science that I would not want to be on the short side if/when they hit gold. Just my thoughts.
